Form 990, Part VI, Line 1A Delegate broad authority to A committee

There shall be an executive committee of three members consisting of the president and two other mebers of the board of directors, to be appointed annually by the president. The executive committee shall have power at any time between the regular meetings of the board to act for the board in all matters wherein immediate decisions and actions are deemed necessary for the best welfare of the foundation. Such actions of the executive committee shall be reported to the board at its next regular or special meeting and such minutes shall be made thereof as the board may direct. A majority of committee members shall constitute a quorum.

Purdue university elects the members of the governing body of ross ade foundation.

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

The board of directors of the foundation shall consist of five members. The president of purdue university, the executive vice president and treasurer of purdue university, and the vice president for business services of purdue university shall, by virtue of said officers, be directors of the foundation. The remaining members of the board of directors (the "trustee directors") shall be appointed by the board of trustees of purdue university. Any vacancy in the trustee directors may be filled for the unexpired term or terms by the board of trustees of purdue university.

Form 990, Part VI, Line 11B Review of form 990 by governing body

The Form 990 is prepared annually after the year end activities are complete. The Secretary/Treasurer and Assistant Treasurer of Ross Ade Foundation review the prepared Form 990 and related schedules. The Form 990 then is presented to the board members. All questions and concerns of the members from the board will be addressed by Assistant Treasurer and Secretary/Treasurer and incorporated into the Form 990 as applicable. After all input has been appropriately addressed, the Form 990 will by filed by the due date.

A Conflict of Interest questionnaire is completed annually by board members. Any conflicts of interest are investigated and safeguards are implemented to protect all parties involved if applicable.

THE PRESIDENT OF PURDUE UNIVERSITY, THE EXECUTIVE VICE PRESIDENT AND TREASURER OF PURDUE UNIVERSITY, AND THE VICE PRESIDENT FOR BUSINESS SERVICES OF PURDUE UNIVERSITY SHALL, BY VIRTUE OF SAID OFFICERS, BE DIRECTORS OF THE FOUNDATION. THE REMAINING MEMBERS OF THE BOARD OF DIRECTORS (THE "TRUSTEE DIRECTORS") SHALL BE APPOINTED BY THE BOARD OF TRUSTEES OF PURDUE UNIVERSITY. ANY VACANCY IN THE TRUSTEE DIRECTORS MAY BE FILLED FOR THE UNEXPIRED TERM OR TERMS BY THE BOARD OF TRUSTEES OF PURDUE UNIVERSITY.

The Secretary/Treasurer and Assistant Treasurer of Ross Ade Foundation review the prepared Form 990 and related schedules. The Form 990 then is presented to the board members. All questions and concerns of the members from the board will be addressed by Assistant Treasurer and Secretary/Treasurer and incorporated into the Form 990 as applicable. After all input has been appropriately addressed, the Form 990 will by filed by the due date.
