Governance Explanations

Form 990, Part VI, Section B, Line 11B

An independent tax accountant prepares a draft of the form 990; the executive director reviews a draft of the form 990 and provides comments, edits, and corrections. After revisions, the form 990 is provided to all members of the governing body prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Each director, prior to taking his or her position on the board, and all present directors, shall submit in writing to the chair of the board a list of all businesses or other organizations of which he or she is an officer, director, trustee, member, owner, shareholder, employee, or agent, with which the business has, or might reasonably in the future enter into, a relationship or transaction in which the director would have conflicting interests. The chair shall become familiar with the statements of all directors in order to guide his or her conduct should a conflict arise. At such time as any matter comes before the board in such a way as to give rise to a conflict of interest, the affected director shall make known the potential conflict, whether disclosed by his or her written statement or not, and after answering any questions that might be asked of him or her, shall withdraw from the meeting for so long as the matter continues under discussion. In addition, other directors who themselves have had pecuniary benefit transactions with the business within the same fiscal year, should also not be present and not participate in the discussion. Should the matter be brought to a vote, neither the affected director nor any other director with a pecuniary benefit transaction with the business the same fiscal year shall vote on it.

Compensation data from industry sources are consulted. Financial Statement Notes

PART V, LINE 4:

The endowment funds represent donor contributions that are subject to restriction of gift instruments requiring that the principal balance be maintained in perpetuity; the endowment is intended to ensure the organization can continue to offer programs that emphasize creativity through musicianship, improvisation, and composition.

PART X, LINE 2:

Financial statement presentation follows the recommendations of asc 740, income taxes. Under asc 740, walden is required to report information regarding its exposure to various tax positions it has taken based on a two-step process that separates recognition from measurement. The first step is determining whether a tax position has met the recognition threshold; the second step is measuring a tax position that meets the recognition threshold. Management believes that walden has adequately addressed all tax positions and that there are no unrecorded tax liabilities. Management believes that walden has adequately evaluated its current tax positions and has concluded that as of september 30, 2024 and 2023, walden did not have any uncertain tax positions for which a reserve or an accrual for a tax liability would have been necessary. Walden has received notification from the internal revenue service and the state of california that it qualifies for tax-exempt status under section 501(c)(3) of the internal revenue code and section 23701d of the california revenue and taxation code, respectively. There is no legal requirement to obtain tax-exempt status from the state of new hampshire. The exemptions are subject to periodic review by the federal and california taxing authorities, and management is confident that walden continues to satisfy all federal and state statutes in order to qualify for continued tax-exempt status. Walden may periodically receive unrelated business income requiring walden to file separate tax returns under federal and state statutes. Under such conditions, walden calculates, accrues, and remits the applicable taxes.
