The number of members/officers was updated. The executive director of jacksonville area sexual minority youth network, inc. Is a director of the board of jasmyn properties, inc. And is not subject to term limits but can be voted off of the board. Upon dissolution of jasmyn properties, inc. Assets will go to jacksonville area sexual minority youth network, inc. Amendments to the bylaws of jasmyn properties, inc. Must be approved by the board of jacksonville area sexual minority youth network, inc.”

“The executive director and jasmyn fiscal committee, which includes the jpi board treasurer and secretary, review the form 990, and then bring the final form to the jasmyn and jpi board to review before it is filed.”

“All jasmyn and jpi board members are required to submit a signed annual disclosure of conflict form, and are expected to disclose all potential conflicts of interest in pertinent matters and proposed or ongoing transactions. Jasmyn's fiscal committee and governance committee monitor potential conflicts of interest for jpi. The governance committee determines when a conflict exists and identifies any restrictions that should be made, such as prohibiting a member with a conflict of interest from participating in the board's deliberations and decisions in the transaction where the conflict is present. The discussion, determination, and any restrictions made are recorded in the meeting minutes of the jasmyn board or governance committee as appropriate.”
