“Individuals affiliated with allies for children (the "corporation"), with such persons known as "covered persons" for this purpose, commonly have a range of professional and personal associations with and interests in other entities. To assure the corporation's many constituents of the integrity of its endeavors, covered persons should avoid situations in which such associations or interests could compromise or reasonably appear to compromise important values espoused by the corporation or the corporation's business decisions. Accordingly, it is the policy of the corporation that covered persons shall act in a manner consistent with their responsibilities to the corporation and avoid circumstances in which their financial or other ties to outside entities could present an actual, potential or apparent conflict of interest ("conflict of interest") or impair the corporation's reputation. A covered person who has a known material financial interest in a pending or proposed transaction or business arrangement involving the corporation shall promptly disclose to the board the existence of the interest and other material information that the covered person may have regarding the transaction or arrangement. In addition, each covered person other than former covered persons shall annually sign and submit to the secretary of the corporation a statement disclosing all material financial interests, known to the covered person, of the covered person or a family member, in any outside entity with which the covered person knows the corporation has or is considering a transaction or other business relationship, or affirming that the covered person knows of no such interests.”
