Governance Explanations

Form 990, Part VI, Line 1A Delegate broad authority to A committee

The Executive Committee is composed of the Board Chair, Secretary, and at least two Directors. The Committee has the authority of the Board of Directors in the management and business of the Corporation between meetings of the Board of Directors. The Committee meets and decides on critical issues in those occasions when Board action is required. The Committee documents actions taken and presents them for ratification to the full Board at its next meeting.

Form 990, Part VI, Line 11B Review of form 990 by governing body

Form 990 was prepared by an independent CPA firm and reviewed in detail by top management. After top management review, the Finance and Audit Committee reviewed and approved Form 990. The return was then distributed electronically to all board members prior to filing with the IRS.

Form 990, Part VI, Line 12C Conflict of interest policy

All officers and directors annually complete conflict of interest statements. The Executive Committee of the Board reviews the signed statements and monitors any interests that could give rise to conflicts. Should any potential conflicts of interest be disclosed, the director or officer would be asked to refrain from participation in any decision with regard to matters affected by the relationship.

Form 990, Part VI, Line 15A Process to establish compensation of top management official

Independent Board members serving on the board's finance committee determined the President's compensation using comparability data based on local private secondary schools. This decision and process is documented in the committee minutes. The process is repeated on an annual basis for the upcoming school year.

The President, who is independent of the Assistant Treasurer and COO, determined their compensation based upon comparability data. This decision and process is documented in their HR file. The process is repeated on an annual basis for the upcoming school year.

(School) is a nonprofit religious/educational organization whose objective is to provide an excellent, Christ-centered education, equipping students for a life of scholarship, leadership and service. In a city filled with outstanding school choices, Covenant's distinction hinges on three major aspects: our teachers, our curriculum, and our commitment to serve the Indianapolis community. Our credo summarizes these ideas well, "minds enlightened, hearts inflamed, lives transformed". Vital to a Covenant education, our teachers live out this motto as they strive to both enlighten students' minds and inflame their hearts in an effort to transform their lives. Teachers are committed to helping these students flourish as complete human beings, mentoring them in and out of school. In the classroom, students are trained to think critically and ask questions about all of life, from music to mathematics, art to archeology. Covenant challenges students to not only understand their world, but to engage that world and impact it. The School is a member of the Indiana Non-Public Education Association and the Association of Christian Schools International (ACSI). The School received the designation of Exemplary Accreditation by the ACSI on March 10, 2022 and is also accredited by Advanced Ed, and by the Indiana Department of Education as an Indiana Freeway School. The school provided education to 370 (FT) and 1 (PT) domestic and 5 (FT) and 0 (PT) international students during the 2023-2024 school year.
