IRS990/Description0Methodist Medical Group ("MMG") was formed in 1994 as a primary care organization partnered with Methodist Medical Group Physicians, Inc. ("MMGP") a multi-specialty physician group, and as a partner of Indiana University Health, Inc. MMG works with a team of healthcare professionals who provide compassionate and excellent care to enhance the total well-being of their patients and community they serve. Physicians provide services to commercial pay, Medicare, Medicaid, self and indigent patients. Patients receive service without regard to their ability to pay. Through this physician-led partnership, MMG effectively integrates a comprehensive network of facilities along with primary and specialty care providers in locations throughout central Indiana.

IRS990ScheduleO/GeneralExplanation/Explanation2Line 6: The sole member of Methodist Medical Group, Inc. ("MMG") is Indiana University Health, Inc. ("IU Health"), a 501(c)(3) tax-exempt hospital. Line 7a: The corporation may have up to eleven (11) voting directors that are elected or appointed as follows: -The Chief Executive Officer of IU Health, as the sole member, shall serve as a director of MMG, Ex Officio, with vote. -Two (2) directors shall be appointed for two-year terms by the members of Methodist Health Group, Inc., an Indiana nonprofit corporation and member of IU Health subject to the approval of IU Health. -Eight (8) directors shall be nominated by the nominating committee. Of these eight (8), two (2) shall be primary care physicians and two (2) shall be specialty care physicians, all of whom practice primarily at Methodist Hospital. The remaining ("community representatives") shall be community-based and completely independent of IU Health, as the sole member, and its affiliates, other than service, if any, on the board of directors of a nonprofit corporation. The names of all eight (8) nominees shall be submitted to IU Health, as the sole member, for election to terms of two (2) years each. If a nominee is rejected by IU Health, the nominating committee shall submit a new nominee. Line 7b: Notwithstanding any other provisions of the Articles of Incorporation, the following matters require the approval of IU Health, as the sole member, prior to implementation: -any amendment of the articles of incorporation or bylaws of MMG or any entity of which MMG is the sole or a controlling member or owns at least a majority of the outstanding stock ("MMG's Affiliates"); -adoption or revision of any operating or capital budget of MMG or any of the MMG's affiliates; -a merger or consolidation of MMG or any of the MMG's affiliates; -any sale, lease, exchange, conveyance, mortgage, pledge or other disposition of a substantial portion of the property, assets or interest of MMG or any of MMG's affiliates, other than pursuant to a budget approved by IU Health; -any incurrence of debt by MMG or any of MMG's affiliates, or the creation of any lien upon the property or revenues of MMG or any of MMG's affiliates, other than in such entity's ordinary course of business, or pursuant to a budget approved by IU Health, as the sole member. Notwithstanding any other provisions of the Articles of Incorporation, IU Health, as the sole member, shall have the power to direct the Board of Directors of MMG and of any of MMG's affiliates to do any of the following: -transfer property of such entity in amounts sufficient to pay the principal and interest on any obligation of IU Health, as the sole member; and -take such actions as are required in order for MMG to comply with the covenants contained in any financing document to which IU Health, as the sole member, is a party or under which it is bound.
