Mission and Program Overview

Mission

Franciscan aco, inc., provides coordinated, comprehensive care across hospitals, physician practices and other healthcare providers to enhance the healthcare experience of patients under our care. Since 2011, franciscan aco, inc., (formerly franciscan alliance aco) has developed innovative care models. Currently participating in the medicare shared savings program (mssp), franciscan aco, inc. Has expanded to also include accountable care organization partnerships with medicare advantage and commercially insured patient populations. Within each of these programs attributed patients, known as beneficiaries, receive the added benefit of a more coordinated care experience. This includes coordination of preventive health services and care coordination support for persons with chronic health conditions, such as diabetes and congestive heart failure. Care coordination services are provided through the aco. Better yet, beneficiaries maintain the ability to see any doctor or healthcare provider

The organization's sole member is franciscan alliance, inc.

Form 990, Part VI, Section A, Line 7A

Those individuals who are elected or appointed as members of the executive committee of the board of trustees of franciscan alliance, inc. Shall, by virtue of such election or appointment, be members of the board of directors of franciscan aco, inc. Form 990, part vi, section a, line 7b certain powers have been reserved to the members. These powers include: (a) approving annual operating and capital budgets; (b) approving a nonbudgeted capital expenditure in excess of $500,000; (c) approving debt incurred which matures more than one year after its original issuance; (d) approving the disposition of any asset having an accounting book value in excess of $500,000; (e) approving the long-range financial and strategic plan; (f) approving and amending the by-laws or articles of incorporation; (g) approving any major capital improvement project having a value in excess of $500,000; (h) approving, interpreting and changing any statement of mission, philosophy, role and purpose; (i) approving the merger, dissolution, consolidation or reorganization of the corporation; (j) approving the acquisition, sale, lease, transfer or other alienation of property of the corporation, other than in the usual and regular course of business, when such acquisition, sale, lease, transfer or other alienation is above the specified financial levels set in accordance with policies established from time to time by the member; and (k) taking any action, which would be inconsistent with the governing documents or policies of franciscan alliance, inc.

Senior management then reviews the return prior to filing. The form 990 is also made available to franciscan aco's board of directors prior to filing.

The corporation and/or an affiliate requires annual conflict of interest statements from each director, principal officer, and members of committee with board designated powers which affirms that they have received, read, and understand the conflict of intersest policy and have agreed to comply with the policy. In connection with any actual or possible conflict of interest, a director, principal officer, or member or a committee with board designated powers must disclose the existence and nature of the financial interest to the directors and members of committees with board designated powers considering the proposed transaction or arrangements. After disclosure of the financial interest, the director, principal, or committee member shall leave the board or committee meeting while the financial interest is discussed and vote taken. In addition, ongoing reviews and assessments are made to make certain that the corporation operates in a manner consistent with its charitable purposes. In conducting the ongoing reviews and assessments, the corporation uses internal and external adviors.
