Governance Explanations

Form 990, Page 6, Part VI, Line 6

Per the by laws of the corporation, there is a board of directors consisting of not less than eleven members. Each member is a resident of or does business in hendricks county. The corporation has three classes of members: entitlement members, discretionary members, and ex-officio members. The group of entitlement members is appointed from the town councils and chambers of commerce in avon, brownsburg, danville, pittsboro, and plainfield. In addition, there are members appointed from the hendricks county commissioners and hendricks county council with three additional members which may be appointed by the corporation's board of directors. Any entity which desires to further the purpose of the corporation and to participate in its activities may become a discretionary member upon a minimum annual investment of 7,500. The term of this discretionary membership is one year. Approved entities may become ex-officio members upon a minimum annual investment of 7,500. Ex-officio members represent those offices, positions, or activities that provide important resources to assist the corporation in accomplishing its primary mission. The approved group of ex-officio members may include representatives of both the association of hendricks county school superintendents and the hendricks county convention and vistors bureau.

EACH MEMBER IS A RESIDENT OF OR DOES BUSINESS IN HENDRICKS COUNTY. THE CORPORATION HAS THREE CLASSES OF MEMBERS: ENTITLEMENT MEMBERS, DISCRETIONARY MEMBERS, AND EX-OFFICIO MEMBERS. THE GROUP OF ENTITLEMENT MEMBERS IS APPOINTED FROM THE TOWN COUNCILS AND CHAMBERS OF COMMERCE IN AVON, BROWNSBURG, DANVILLE, PITTSBORO, AND PLAINFIELD. IN ADDITION, THERE ARE MEMBERS APPOINTED FROM THE HENDRICKS COUNTY COMMISSIONERS AND HENDRICKS COUNTY COUNCIL WITH THREE ADDITIONAL MEMBERS WHICH MAY BE APPOINTED BY THE CORPORATION'S BOARD OF DIRECTORS. ANY ENTITY WHICH DESIRES TO FURTHER THE PURPOSE OF THE CORPORATION AND TO PARTICIPATE IN ITS ACTIVITIES MAY BECOME A DISCRETIONARY MEMBER UPON A MINIMUM ANNUAL INVESTMENT OF 7,500. THE TERM OF THIS DISCRETIONARY MEMBERSHIP IS ONE YEAR. APPROVED ENTITIES MAY BECOME EX-OFFICIO MEMBERS UPON A MINIMUM ANNUAL INVESTMENT OF 7,500.
