Governance Explanations

Form 990, Part VI, Section B, Line 11B

The treasurer reviewes and presents the draft of the form 990 to the executive committe and leads the discussion over its content. Revisions are made to the draft as necessary. The board of directors formally approves the 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

Conflict of interest forms are completed annually by board members. If a conflict exists, it is brought to the attention of the board chair. Any director with a conflict abstains from voting on matters related to the conflict of interest discolsed.

Form 990, Part VI, Section B, Line 15A

Executive director's performance and compensation are reviewed annually by a sub-committee of the board of directors. The committee uses salary data, including form 990s of other like organizations, to determine the compensation of the president. The salary is then approved as part of the annual budget by the board of directors.

Form 990, Part VI, Section C, Line 19

The previous three years of form 990 are available upon request.
