Mission

Since its founding in 1827, hanover college has been committed to providing a true liberal arts education. Hanover college offers 35 majors of study as well as the opportunity for students to self-design their own major. Hanover also offers 8 pre-professional pathways and a graduate program, the graduate program doctor of physical therapy which currently has an enrollment of 107 for fall 2025. The graduate program doctor of occupational therapy has an enrollment of 101 for fall 2025.

Hanover college is an institution of higher education that provides lifelong learning opportunities in more than 35 academic disciplines.

Governance Explanations

Form 990, Part VI, Line 1A Delegate broad authority to A committee

PER BY-LAWS: There shall be, and by the adoption of these Bylaws the Board hereby creates, an Executive Committee of the College, which shall consist of the Chair, Vice-Chair, Secretary, President, and two additional trustees as nominated by the Chair and confirmed by the full Board. During intervals between meetings of the Board, the Executive Committee shall have and exercise all of the authority of the Board in the management of the College, except where prohibited by law and except as to the authority to hire, terminate or make compensation decisions with regard to the President of the College, in circumstances where the full Board is unable to act in a timely manner. The Executive Committee shall cause minutes of its proceedings to be kept and filed with the minutes of the proceedings of the Board, and shall make a report at each regular or special meeting of the Board of all acts of the Committee since the last meeting of the Board.

Form 990, Part VI, Line 11B Review of form 990 by governing body

The 990 is first reviewed by the controller and then by the vp for business affairs. The 990 will then go to the finance committee of the board of trustees for final review and then to the full board of trustees for final approval. In addition, the organization's accounting firm reviews the form 990 prior to filing.

Form 990, Part VI, Line 12C Conflict of interest policy

Monitoring & enforcement of compliance with conflict of interest policy: the conflict of interest policy is signed annually by the board of trustees, reviewed by the president, and the copies are kept on file in the president's office. If a conflict is found, the interested person shall not be present or participate in the vote on whether to enter into such transaction with the interested person, but may be counted for purposes of determining the existence of a quorum. If the interested person is counted for quorum purposes, the action must be approved by a sufficient number of votes based upon that quorum. For example, if a majority vote of the quorum is required to approve an action, and eight (8) trustees constitute a quorum, the action must be approved by five (5) of the seven (7) disinterested trustees voting on the transaction or arrangement.

The president's compensation is reviewed by the board of trustees every two years and documented in the board minutes. Dr. Lake lambert began july 1, 2015. His last review was given in 2019. The policy encourages the application of the rebuttable presumption standard of code section 4958 and the related treasury regulations by (a) excluding any interested party from the decision-making process; (b) requiring disinterested board or committee members to obtain and rely upon comparability data when setting the proposed compensation terms; (c) requiring approval of the transaction in advance by disinterested directors or committee members; and (d) requiring contemporaneous documentation (i.e., minutes) reflecting the decision and the process by which it was made.

Artwork is displayed across campus in the art gallery. Books are used for students, faculty, and staff to assist in providing education.

Schedule D, Part V, Line 4 Intended uses of endowment funds

Hanover's endowment funds promote the overall mission of educating students. Specific examples include: scholarships, study abroad, lectureships, library and various fields of study. However, a large portion of hanover's endowment is for general purposes. This provides the college with the flexibility to divert funds where they are needed the most. During 2013, the college revised the endowment disclosure to include all funds functioning as endowments rather than just those funds established as endowments by donors.

Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote

The College is exempt from federal income taxes under Section 501(c)(3) of the United States Internal Revenue Code. The College is not considered to be a private foundation. Current accounting standards require the College to disclose the amount of potential benefit or obligation to be realized as a result of an examination performed by a taxing authority. For the years ended June 30, 2019 and 2018, management has determined that the College does not have any tax positions that result in any uncertainties regarding the possible impact on the College's financial statements. The College does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The College recognizes interest and/or penalties related to income tax matters in income tax expense. The College did not have any amounts accrued for interest and penalties at June 30, 2020 or 2019.
