Membership in the stark county humane society is based upon an individualscontribution to the organization. Membership fees are as follows:*friend - $15*supporting - $25*patron - $60*sustaining - $100*benefactor - $300*life - $500

Member election for additional members Part VI line 7A

Members cannot directly elect one or more members to the governing body. However,the members can submit an individuals name to the nominating committee for itsconsideration. Members can also attend the annual membership meeting which is held in march of each year, and can vote for the individuals nominated to serve as directors of the organization.

Form 990 governing body review Part VI line 11

The final version of the 990 and its supporting schedules are presented to theboard of directors at the monthly board meeting prior to filing the return. If not possible due to the timing of monthly meeting and the deadline of the 990,then a copy is sent to each of the board members for review. If presentedat the board meeting, then each board member is given a copy of the 990 and itsschedules to review and ask any questions necessary. After all questions have been answered, the board will determine if any changes are deemed necessary.those changes will be made immediately, and then the return will be filed.

The board members of the stark county humane society are required to promptlynotify the board of any potential conflict of interest.

During the preparation of the annual budget for the stark county humane society(schs), the finance committee of the schs shall carefully review the proposed compensation for all employees that is submitted by the executive director andthe assistant director. The compensation of each employee shall be determined based on a number of factors, including but not limited to, the employees lengthof service, attendance, and job performance. After completing its review, the finance committee shall make its recommendation regarding employee compensation to the board during its consideration of the proposed annual budget. The boardof directors shall review and determine the compensation for all employees of schs.

The review of the executive director (ed) should be based on the duties andresponsibilites of the position as outlined in the ed job description. Thefollowing procedures shall be used in this process:1)the annual evaluation of the ed shall be by the end of each calendar yearand submitted to the board at the january meeting.2)the schs personnel committee shall have oversight of the review process.3)the board president will be responsible for compiling individual evaluations and for reviewing the results,if any,of the evaluation with the ed.4)an evaluation form based on the eds job descrition is to be completed by thepersonnel committee and will allow for additional comments.5)the findings of the ed annual review shall be presented by the president to the board.

The governing documents, conflict of interest policy, and financial statements for the schs will be made available to the public upon request. The schs will make thedocuments availble for review at their office during business hours, or will copy andmail the documents to the requester. Requests will be honored within a reasonableperiod of time, typically within two weeks.

Footnote for uncertain tax position under FIN 48 (Part X)

Certificates for reduced spay/neutering costs are issued with each adoption for every adoption of an animal not already neutered. A $35 refundable deposit is requird with every adoption. The shelter retains this deposit until the animal is taken to one of our participating veterinarians. The adopting individual will take proof of the spay/neuter to the shelter and the deposit is refunded. The participating veterinarians are reimbursed for a portion of the costs incurred. Any certificates that have expired generate revenue for the organization.

THE ADOPTING INDIVIDUALWILL TAKE PROOF OF SPAY/NEUTERING TO THE SHELTER, AND THE DEPOSIT IS REFUNDED. THE PARTICIPATING VETRINARIANS ARE REIMBUSED FOR A PORTION OF THE COSTS INCURRED. THEGOAL OF THESE CERTIFICATES IS TO HELP LESSEN THE OVERPOPULATION OF THESE ANIMALS INTHE COMMUNITY BY PROMOTING RESPONSIBLE PET OWNERSHIP.
