Mission and Program Overview

Mission

The purpose of the Organization is to support and maintain a home for the aged and infirm. To this effect, Sunset Retirement Communities extends charitable care to those who exhaust their assets as well as provide special consideration and financial assistance, in both its admission and residency policies, to aged applicants who have no family to care for them, are of limited financial means, are in need of the services the Organization provides and are residents of the greater Toledo area. The Organization provides the following services: housing, assistance with activities of daily living (including bathing, dressing and walking), housekeeping, laundry and meal services. In addition, the Organization provides skilled nursing services to those in need of short or long term nursing care as part of a continuum of care.

Sunset retirement provides desirable senior care facilities to approximately 300 residents.

Members of the board of directors shall be elected by the member of the corporation upon nomination by the corporation's board of directors.

The fololwing corporate powers and actions may only be taken with the approval of the member after giving consideration to the concerns of the board of directors: 1. The determination and adoption of the corporation's annual operating and capital budgets. 2. The expenditures for non-budgeted items in excess of $500,000. 3. Determining corporation administrative and operating staff compensation and benefits. 4. Determining all building programs and the making of certificate and need applications. 5. Determining to add or terminate any services. 6. The appointment of auditors and legal counsel. 7. Employing, evaluating, disciplining or discharging the president and/or treasurer of the corporation. 8. The adoption of long-range plans and management objectives, including the execution of any agreement with consortiums, alliances, or other organizations. 9. Taking membership in or joining any organization. 10. The sale, lease, mortgaging, encumbering or other disposition of any real property; and the sale, mortgage, encumbering or lease of any personal property of a value in excess of $50,000. 11. The management and administration of all legal matters involving the corporation. 12. The management and administration of all insurance for the corporation. 13. The establishment of uniform employment practices and policies. 14. The development and implementation of marketing, public relations, and fundraising efforts on behalf of the corporation without prior notification to and approval from an officer of the member unless approved in the annual budget. 15. The assumption or issuance of any long-term or short-term debt in excess of any amount determined from time to time by the member. 16. The approval of any voluntary merger or consolidation of the corporation or the sale, assignment, mortgaging, encumbering, pledging, leasing or transfer of all or substantially all of the assets or the corporation or the transfer of control of the corporation. Notwithstanding the foregoing, the approval or censent of the member shall not be required for any of the actions described in article iv, sections 4 or 5 above if such action is funded exclusively for the corporation's donor restricted funds or board restricted funds and does not exceed $5,000,000.

Sunset retirement communities executive/personnel committee establishes wage and salary ranges for all positions. On an annual basis the committee is provided salary survey information from leadingage ohio and leadingage. These reports provide wage and salary data for ohio and for the region and nation. The leadingage survey further breaks this data down by size of the organization (number of residents served) and annual revenues. The executive/personnel committee is delegated the responsibility for the annual review of the president and chief executive officer. This committee also determines the annual compensation for the president and ceo. The president and ceo are responsible for evaluating the performance of employees who report directly to them and are responsible for any adjustments to those employees compensation. Performance reviews are documented and filed in the employees personnel file along with written documentation of any wage adjustments.

THE REIMBURSEMENT RATE SUNSET RETIREMENT COMMUNITIES RECEIVES FROM THESE MEDICAID PROGRAMS IS LESS THAN THE MARKET RATE AS WELL AS THE COST TO PROVIDE THESE SERVICES. DURING 2020, THE REIMBURSEMENT SRC RECEIVED FROM MEDICAID WAS $2,802,419 LESS THAN THE COST TO PROVIDE THE CARE TO THOSE RESIDENTS.
