Governance Explanations

Form 990, Part VI, Line 1A: Explanation of Delegated Broad Authority to Committee

In accordance with the bylaws, the board of directors did, by a majority vote of directors, designate two (2) or more of its members (who may also be serving as officers of this corporation) to constitute an executive committee of the board and delegate to such committee any of the powers and authority of the board in the management of the business and affairs of the corporation, except with respect to certain critical matters requiring approval of the majority of board members, amending bylaws, filling vacancies on the board, determining compensation of directors, and similar.

Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents

The bylaws were amended to redefine board member positions and terms, name three corporate officers, and add a vice chairperson.

Form 990, Part VI, Line 11B: Form 990 Review Process

Prior to filing, the entire Form 990 was reviewed by our executive director, board of directors, and ex-officio board members via email with an opportunity for questions to be asked. It was then approved by a majority vote of directors.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Persons covered - Any director, principal officer, or member of a committee, or staff member with governing board delegated powers, who has a direct or indirect financial interest.Monitoring proposed or ongoing transactions for conflicts - An interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. Each covered person must annually sign a statement which affirms that such person has received, has read, and understands the Policy and agrees to comply with it.Dealing with potential conflicts and the level at which determinations of whether a conflict exists are made - After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists.Dealing with actual conflicts, the level at which actual conflicts are reviewed, and restrictions imposed on the interested person - An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its own decision as to whether to enter into the transaction.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

In December 2013, to determine the previous executive director's salary, the board reviewed data from the following sources: Community Council of Greater Dallas: DFW 2013 Nonprofit Salary & Benefits Survey; Texas Association of Nonprofit Organizations: The Compensation Report 2012; The NonProfit Times Salary and Benefits Survey, Feb. 1, 2013; and GuideStar Compensation Report 2013 (sample). The current executive director was asked about her salary during her employment interview and proposed a substantially lower figure to assist the Organization. This proposal was accepted and approved by the board, and the corresponding wages were included in the budget as formally approved and documented by the board in early 2019.

Financial Statement Notes

Part IV, Line 2B: Explanation of escrow account liability

The Organization processes payments for a guest house in Uganda to facilitate the flow of payments there by US-based guests. Additionally, the Organization receives funds as an agent at times for the benefit of specific individuals, though the benefits fulfill the Organization's mission.

Part X : FIN48 Footnote

Management has concluded that any tax positions which would not meet the more-likely-than-not criterion of Financial Accounting Standards Board (FASB) Accounting Standards Codification (ASC) Topic 740-10, Accounting for Income Taxes, would be immaterial to the financial statements taken as a whole. Accordingly, the accompanying financial statements do not include any provision for uncertain tax positions, and no related interest or penalties have been recorded in the operating statement or accrued in the statement of financial position. Federal and state tax returns of the Organization are generally open to examination by the relevant taxing authorities for a period of three years from the date on which the returns are filed.

Supported more than 271 children in education at every level from nursery through secondary school with uniforms, shoes, mattresses and other supplies and provided school lunches for nearly 1,000 studentsProvided tuition, tutoring and transportation during breaks for 43 Batwa students at Bishops Primary School (boarding school)Conducted Career Day to guide students to a successful vocationProvided flood relief to Batwa families including food and seed to replant cropsConstructed 6 Batwa homes and introduced interlocking brick-making Built 3 sets of kitchens and pit latrinesBuilt 1 worship banda with water catchmentsRepaired and expanded 2 schoolsTrained Batwa in sustainable agriculture and animal husbandry; expanded gardens in settlements and schools; supplied families with chickens, ducks, pigs, goats and rabbitsSold hundreds of items made by Batwa women through the Batwa Women's Centre including uniforms, dresses, jewelry, baskets and bagsProvided spiritual care in settlements and schools in the form of One-Story Bible teams, reconciliation training, grief counseling and mentoringPurchased 3 parcels of landBwindi area healthcare, through Bwindi Community Hospital, their associated clinics and Uganda Nursing School Bwindi: The Kellermann Foundation makes high-quality, low-cost healthcare available to over 280,000 area residents through Bwindi Community Hospital (BCH) and advanced-level nursing education for 345 students at Uganda Nursing School Bwindi (UNSB): Constructed a 2,352 sq ft teaching theatre, surgical ward, and chapel that can hold 250 peopleDecreased number of dangerous home deliveries from 65% in 2000 to 5%Delivered over 1,800 babies with 97.3% resulting in live births; 95% of newborns completed recommended schedule of newborn check-upsCared for over 1,000 critically ill children with 98% recovery rate for malnutritionTreated 1,065 HIV-positive patients with 91% in viral load monitoring and achieved 100% success in the prevention of HIV mother-to-child transmissionProvided over 1,500 surgeries with less than 1% sepsis rateConducted daily community outreach programs with topics such as mental health, domestic violence, alcohol rehabilitation and health educationProvided dental and eye programs to an average of 80 patients dailyHosted surgical camps for skeletal, urinary and reproductive diseasesContributed 58% of national distinctions from UNSB graduates passing the rigorous national nursing exams, receiving licenses and finding employmentConstructed UNSB's Nursing Skills LabCollaborated with University of Scranton, University of Vermont, EPICS at The University of Texas at Dallas and Dominican University, Mayo Clinic, Mbarara University and Uganda Christian University Mukono.
