“By action of the board of trustees, the audit subcommittee reviews form 990 with the assistance of outside public accountants. Once approved, the form is then forwarded to all members of the board of trustees before filing.”

“Each trustee, officer, and senior staff member is required annually in writing to identify and disclose potential conflicts of interest as clearly defined in the conflict of interest policy approved by the board of trustees. Upon disclosure of a conflict of interest, senior staff members do not approve during the regular course of business nor does any officer or trustee participate in any board or committee action applicable to any transaction or arrangement with respect to which he or she has a potential conflict of interest or approve, recommend, or vote on such transactions or arrangements. The disinterested senior staff members, officers, or members of the board or committee of the board determine, based on all the facts and circumstances presented and by majority vote of the disinterested parties, whether to enter into a transaction or arrangement involving a potential conflict of interest based on whether it is fair and reasonable to the organization in the organization's best interests and organization's own benefit. By action of the board of trustees, the audit subcommittee assures compliance with legal and regulatory requirements including the board-approved conflict of interest policy.”

“By action of the board of trustees, the executive committee of the board of trustees is responsible for reviewing compensation. The executive committee has created a compensation subcommittee which analyzes a salary survey prepared by an independent compensation consultant each year. This survey is used to benchmark the compensation for the ceo, coo, cdo, and cfo and includes the most recently available compensation information for similar positions in similar organizations. The subcommittee deliberates independently of the ceo, coo, cfo, and any other individual receiving compensation from the organization and makes a recommendation of compensation amounts to the executive committee which makes the final decision. The chairman then shares the information about compensation with the rest of the board of trustees. This process has been in place since 2002 and was implemented most recently in april of 2014.”

“Ideastream makes information required to be made available for public inspection by the federal communications commission (fcc) as licensee of broadcasting channels and the corporation for public broadcasting (cpb) as a qualified recipient of support. The information is available for public inspection upon request including financial reports filed with cpb. Public notice is given of each meeting of the governing body, any committee of the governing body, and the community advisory board. Those meetings are open to the public.”
