Governance Explanations

Form 990, Part VI, Section B, Line 11

A copy of the completed and signed Form 990 is provided to each trustee at or before their April/May meeting. The executive director explains the preparation of the return, page by page, and responds to any questions that are raised by trustees. In addition, the financial statement prepared by the foundation.s CPA is distributed at that meeting and discussed along with the Form 990.

Form 990, Part VI, Section B, Line 12C

A t their two annual meetings the trustees and the executive director, being all of the person.s involved in rhe management of the foundation, acknowledge any and all apparent conflicts of interest and other related issues..

Form 990, Part VI, Section B, Line 15

The executive director is the only person that receives compensation from the foundation. On January 1, 2015, Brenda T. Mike was appointed by the trustees as the executive director. Pursuant to a written contract, the annual salary for Ms. Mike was established at 60,000, being two-thirds of the salary earned by her predecessor. The assistant to the executive director is not deemed a key employee and volunteers without compensation. Due to the Pandemic in 2020, Ms. Mikes salary was reduced to 50,000. Following employment interviews and by written documentation The trustees hereby acknowledge that they used a process for determining the compensation of the successor executive director as to be reported in Part VII of IRS Form 990, they used data as to comparable compensation for similarly qualified persons in a fundamentally comparable position at similarly situated organizations specifically the 2014 Charity CEO Compensation Study published by Charity Navigator, and the Council on Foundations study of public charities published in 2014, and iii the trustees determined that the compensation to be paid to the successor executive director is reasonable and appropriate for the duties and responsibilities of that office.

Copies of the Foundations trust agreement, financial statements, conflict of interest statement and ethics policy will be provided to any party making a legitimate written request. Copying and postage expense will be paid by the Foundation.

Additional Explanations

Form 990, Part III, Line 1

To undertake international public health initiatives including pediatric surgery and prosthetic limbs for amputees, and reduction in chronic pulmonary disease in collaboration with public supported domestic charities that address the needs of inpoverished children and families in Guatamalans. To best describe the purpose of its mission, the organization does business as Healthworks Collaborative, and often uses the acronym HWC, accompanied by a logo in its promotions materials.

Form 990, Part III, Line 4A

The world-wide Covid-19 Pandemic did not spare the Guatemalans. Their government along with the United States restricted travel to contain the spread of the virus, isolating many small villages and creating challenging food shortages. As a result, HWC had to cancel 3 pediatric surgery missions and two cookstove missions with its partners in Guatemala. As noted in 4b and 4c below, HWC and its partners promptly provided and redirected funds to enable the Shalom foundation and AVIS/Living to Serve to procure food and supplies to avert tragedy. Thus, 2020 was an unanticipated successful year for HWC. Moreover, HWC and its collaborators provided encouragement to the impoverished Mayan people of Coban, Guatemala to remain in their homes, and not participate in the caravans seeking entry into the United States.

Form 990, Part III, Line 4B

HWC began the year sponsoring its second Collaborators Conference in Texas. This two day event allowed each partner to share successes from their programs in 2019. Also, lengthy discussions were shared for potential international missions in 2020. HWCs executive director planned for an interim followup report. Each partner agreed the meeting was informative,and would like to see a repeat in 2021. As noted in 4a,shortly therafter, all international travel for volunteer missions teams would be canceled.HWC had prepaid 10,000 for the administrative expense to The Shalom Foundation in 2019 for two pediatric surgical teams planned. in Guatemala for August, 2020. Since Shalom canceled all missions, HWC trustees voted to allow the the prepaid funds to be applied towards a food/supplies effort called The White Flag Survival Kit. Because of being hit hard by the pandemic, this kit provided 75 lbs of dry food, cleaning supplies, face masks etc for a family for five weeks. In total, the 10,000 supported over 500 men, women,and children to help prevent starvation

The pandemic also impacted our partnership with One World Unity Project US and AVIS/Living To Serve Guatemala.. Because of the added needs of the Kich.e People in remote villages, HWC adjusted its Public Health Initiatives to support 1 providing food for over 540 families for eight weeks 2 install 40 institutional cookstoves and water filters throughout local schools 3 install 40 cook stoves and water filters in homes.. Several other HWC partners contributed to this project for a total of 60,000. In addition, HWC continues .to work with collaborators to design and build the full-service clinic in the Coban Region Construction was delayed by the pandemic throughout Guatemala. One World Unity Project is overseeing the administration of all projects and.provides periodic updates to HWC

Their government along with the United States restricted travel to contain the spread of the virus, isolating many small villages and creating challenging food shortages. As a result, HWC had to cancel 3 pediatric surgery missions and two cookstove missions with its partners in Guatemala. As noted in 4b and 4c below, HWC and its partners promptly provided and redirected funds to enable the Shalom foundation and AVIS/Living to Serve to procure food and supplies to avert tragedy. Thus, 2020 was an unanticipated successful year for HWC. Moreover, HWC and its collaborators provided encouragement to the impoverished Mayan people of Coban, Guatemala to remain in their homes, and not participate in the caravans seeking entry into the United States.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt2HWC began the year sponsoring its second Collaborators Conference in Texas. This two day event allowed each partner to share successes from their programs in 2019. Also, lengthy discussions were shared for potential international missions in 2020. HWCs executive director planned for an interim followup report. Each partner agreed the meeting was informative,and would like to see a repeat in 2021. As noted in 4a,shortly therafter, all international travel for volunteer missions teams would be canceled.HWC had prepaid 10,000 for the administrative expense to The Shalom Foundation in 2019 for two pediatric surgical teams planned. in Guatemala for August, 2020. Since Shalom canceled all missions, HWC trustees voted to allow the the prepaid funds to be applied towards a food/supplies effort called The White Flag Survival Kit. Because of being hit hard by the pandemic, this kit provided 75 lbs of dry food, cleaning supplies, face masks etc for a family for five weeks. In total, the 10,000 supported over 500 men, women,and children to help prevent starvation
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt3The pandemic also impacted our partnership with One World Unity Project US and AVIS/Living To Serve Guatemala.. Because of the added needs of the Kich.e People in remote villages, HWC adjusted its Public Health Initiatives to support 1 providing food for over 540 families for eight weeks 2 install 40 institutional cookstoves and water filters throughout local schools 3 install 40 cook stoves and water filters in homes.. Several other HWC partners contributed to this project for a total of 60,000. In addition, HWC continues .to work with collaborators to design and build the full-service clinic in the Coban Region Construction was delayed by the pandemic throughout Guatemala. One World Unity Project is overseeing the administration of all projects and.provides periodic updates to HWC

The executive director explains the preparation of the return, page by page, and responds to any questions that are raised by trustees. In addition, the financial statement prepared by the foundation.s CPA is distributed at that meeting and discussed along with the Form 990.

IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt6The executive director is the only person that receives compensation from the foundation. On January 1, 2015, Brenda T. Mike was appointed by the trustees as the executive director. Pursuant to a written contract, the annual salary for Ms. Mike was established at 60,000, being two-thirds of the salary earned by her predecessor. The assistant to the executive director is not deemed a key employee and volunteers without compensation. Due to the Pandemic in 2020, Ms. Mikes salary was reduced to 50,000. Following employment interviews and by written documentation The trustees hereby acknowledge that they used a process for determining the compensation of the successor executive director as to be reported in Part VII of IRS Form 990, they used data as to comparable compensation for similarly qualified persons in a fundamentally comparable position at similarly situated organizations specifically the 2014 Charity CEO Compensation Study published by Charity Navigator, and the Council on Foundations study of public charities published in 2014, and iii the trustees determined that the compensation to be paid to the successor executive director is reasonable and appropriate for the duties and responsibilities of that office.
