“Membership in the association shall be open to persons engaged in or in a working relationship with, the landscape business.the association has 7 mutually exclusive classes of membership:regular,teaching,associate, affiliate, honorary, student, & retired membership. Only regular, associate, & teaching affiliate members shall have the right to vote and only such persons shall be eligible to serve as president,presi elect,immed past presi,treas or as a member of the board of trustees; provided however, that the executive director of the association shall be an officer and a member of the board of trustees of the association. All personnel of firms which are regular or associate members shall enjoy all other benefits of the membership in the association.”

“Solicitation for nominations of officers and board of trustees shall be published in the newsletter 60 days prior to the election. The nominating committee will prepare a slate of recommended candidates and present it to the board of trustees at a board meeting prior to the election.approval of the slate of officers and members of the board of trustees shall be held at the annual meeting. A majority vote by voice or show of hands of those regular and associate members present shall be sufficient to elect. If more than ten percent of the membership requests, voting will be by ballot.”

“The associations director will review the 990 prior to final submission. The board of trustees will also be provided a copy of the form prior to final submission.”

“The ohio landscape association conflict of interest policy applies to the executive director as well as board of directors. The association monitors conflict of interest by openly discussing at board meetings any relationships that might pose a possible conflict. The board of directors also has the responsibility for determining whether any executive director interests constitute a conflict and if so what the remedy will be. Restrictions are made on persons with a conflict, such as prohibiting them from participating in the governing bodys deliberations and decisions in a transaction.”
