Governance Explanations

Form 990, Part VI, Section A, Line 7B

All of the authority and powers of The Village of St. Edward are exercised by the Board of Directors subject to the following rights reserved to the local Bishop of the Roman Catholic Church: to approve any changes made by the Board of Directors with respect to philosophy, mission and purpose of The Village of St. Edward; to determine and maintain the Catholic identity of The Village of St. Edward, and to approve any amendment or restatement of the Articles of Incorporation and the Code of Regulations which affect the reserved powers of the Bishop.

Form 990, Part VI, Section B, Line 11B

The Form is reviewed by appropriate contributing departments within the organization, an independent auditing firm, and distributed to the governing body prior to filing.

Form 990, Part VI, Section B, Line 12C

The Annual Conflict of Interest Disclosure Statement is distributed to all board directors at the first Board of Directors meeting of the year. The directors are encouraged to complete the form at that meeting. For those who do not complete the form at that time or are not present at the meeting, staff mails the form to them for their completion. Staff monitors receipt of the forms until all have been received. Upon receipt, staff reviews the forms with the President/CEO. The completed forms are then filed. For any conflicts that may arise, the Duality of Interest section of the organization's Code of Regulations states that only directors who are not interested in the matter may vote.

Form 990, Part VI, Section B, Line 15

The following process is used to establish compensation for the President/CEO. The Executive Committee of the Board of Directors obtains needed comparability data for comparable positions in similar organizations from independent, outside consultants or auditors providing services to the continuing care industry. The data is provided to the Executive Committee prior to a Board of Directors meeting. The Executive Committee reviews the data, along with documentation from the President/CEO, addressing the accomplishment of goals and objectives for the year. The Executive Committee maintains their own minutes of this meeting. The Executive Committee then makes a recommendation for any compensation adjustment at the next meeting of the Board of Directors. The recommendation is made by members independent of the President/CEO. The discussion and results of the meeting are documented in the Board of Directors minutes.

The consolidated financial statements contain the following footnote regarding uncertainty in income taxes. The footnote references 'The Village' which is the parent of the taxpayer. The Village is a not-for-profit corporation and is exempt from tax under the provisions of the Internal Revenue Code Section 501(c)(3). Accounting principles generally accepted in the United States of American require management to evaluate tax positions taken by the Village and recognize a tax liability if the Village has taken an uncertain position that is more likely than not would be sustained upon examination by the Internal Revenue Service (IRS) or other applicable taxing authorities. Management has analyzed the tax positions taken by the Village, and has concluded that as of December 31, 2024 and 2023, there are not uncertain positions taken or expected to be taken by the Village, and has concluded that as of December 31, 2024 and 2023, there are not uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. The Village is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Since its inception in 1964, St. Edward has provided the highest level of compassionate care and services for its residents. The organization has built an exemplary record in delivering quality care and services and of regulatory compliance. The Village of St. Edward is a Catholic organization with historical ties to the Catholic Diocese of Cleveland. No other Catholic sponsored organization in the Akron area offers the same services and programs. The Village of St. Edward participates in both the Medicaid and Medicare programs. During 2024, Nursing Care provided 27,245 days of care.
