“The following process is used to establish compensation for the President/CEO. The Executive Committee of the Board of Directors obtains needed comparability data for comparable positions in similar organizations from independent, outside consultants or auditors providing services to the continuing care industry. The data is provided to the Executive Committee prior to a Board of Directors meeting. The Executive Committee reviews the data, along with documentation from the President/CEO, addressing the accomplishment of goals and objectives for the year. The Executive Committee maintains their own minutes of this meeting. The Executive Committee then makes a recommendation for any compensation adjustment at the next meeting of the Board of Directors. The recommendation is made by members independent of the President/CEO. The discussion and results of the meeting are documented in the Board of Directors minutes.”

“The consolidated financial statements contain the following footnote regarding uncertainty in income taxes. The footnote references 'The Village' which is the parent of the taxpayer. The Village is a not-for-profit corporation and is exempt from tax under the provisions of the Internal Revenue Code Section 501(c)(3). Accounting principles generally accepted in the United States of American require management to evaluate tax positions taken by the Village and recognize a tax liability if the Village has taken an uncertain position that is more likely than not would be sustained upon examination by the Internal Revenue Service (IRS) or other applicable taxing authorities. Management has analyzed the tax positions taken by the Village, and has concluded that as of December 31, 2024 and 2023, there are not uncertain positions taken or expected to be taken by the Village, and has concluded that as of December 31, 2024 and 2023, there are not uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the financial statements. Since its inception in 1964, St. Edward has provided the highest level of compassionate care and services for its residents. The organization has built an exemplary record in delivering quality care and services and of regulatory compliance. The Village of St. Edward is a Catholic organization with historical ties to the Catholic Diocese of Cleveland. No other Catholic sponsored organization in the Akron area offers the same services and programs. The Village of St. Edward participates in both the Medicaid and Medicare programs. During 2024, Nursing Care provided 27,245 days of care. |
