Dr. Timothy collins is a paid employee of walsh university and is therefore considered a non-independent voting member of the board.

Form 990, Part VI, Line 15 DETERMING COMPENSATION

ON AUGUST 5, 2019, THE UNIVERSITY HIRED ITS SEVENTH PRESIDENT WITH THE ASSISTANCE OF A NATIONAL SEARCH FIRM. AT THE TIME OF THE SEARCH, THE BOARD OF DIRECTORS OF THE UNIVERSITY WORKED WITH THE SEARCH FIRM, REFERENCED THE CUPA-HR ADMINISTRATIVE COMPENSATION SURVEY AND WORKED WITH LEGAL COUNSEL TO SET THE INITIAL COMPENSATION. Effective September 1, 2024, the President's contract was extended through June 30, 2030. The extension included a review of compensation by the Board of Directors and Legal Counsel with assistance from the University's Vice President of Finance and reference to the CUPA HR survey. ANNUAL ADJUSTMENTS MAY BE DETERMINED AT THE SOLE DISCRETION OF THE BOARD, SUBJECT TO THE PRESIDENT'S PERFORMANCE, AS ASSESSED BY PERFORMANCE REVIEWS CONDUCTED BY THE BOARD OR ITS AUTHORIZED DESIGNEE(S), AND THE FINANCIAL POSITION OF THE UNIVERSITY. THE PRESIDENT SETS COMPENSATION AMOUNTS FOR THE UNIVERSITY'S VICE-PRESIDENTS BASED ON THE UNIVERSITY'S COMPENSATION MANAGEMENT PROGRAM. THE COMPENSATION MANAGEMENT PROGRAM TAKES INTO ACCOUNT JOB FACTORS INCLUDING FACILITATING STUDENT SUCCESS, KNOWLEDGE AND SKILL, IMPACT AND RESPONSIBILITY, INTERACTION WITH OTHERS, AND WORKING CONTEXT. THE PRESIDENT WORKS WITH THE DIRECTOR OF HUMAN RESOURCES TO REFERENCE THE CUPA-HR ADMINISTRATIVE COMPENSATION SURVEY TO DETERMINE IF SALARY LEVELS ARE APPROPRIATE. THE BOARD OF DIRECTORS APPROVES ALL CONTRACTS THROUGH THE BUDGETING PROCESS.

Form 990, Part VI, Line 11B Review of form 990 by governing body

A draft of the form 990 will be presented to the audit committee for discussion and approval at the february meeting. Upon approval, the audit committee will recommend approval of the form 990 to the finance committee. Once approved by the finance committee, it is presented for approval by the full board. The approved copy of the form 990 will be made available to all board members through an electronic portal.

Form 990, Part VI, Line 12C Conflict of interest policy

The conflict of interest policy applies to all members of the board of directors of walsh university. Each year, the president's office sends out confidential disclosure statements to all members of the board of directors and the university's officers. By completing and signing the statements each member or officer is certifying that they have carefully read the walsh university board of directors conflict of interest policy; that they will abide by the letter and the spirit of the policy and that they will make all disclosures required under the terms of the policy. The completed and signed statements are sent to the treasurer of the board of directors. The treasurer and the chair of the board review the statements and make a determination as to the likelihood of any actual or potential conflicts of interests. If a director reports a conflict of interest to the board, that director may express his or her views at board or committee meetings after disclosing at the time of such expression the material facts giving rise to the conflict of interest. The disinterested directors are also permitted to discuss the matter outside of the presence of the director who has a conflict of interest. The director who has a conflict of interest will not be permitted to vote on matters under consideration by the board affected by the conflict.

Management has evaluated their income tax positions under the guidance included in asc 740. Based on their review, management has not identified any material uncertain tax positions to be recorded or disclosed in the financial statements.

Schedule D, Part III, Line 1A

All collections of works of art, historical treasures, and similar assets are capitalized. The university received donations of various works of art in past years. The collection includes various items that are displayed in several locations on campus. Items added to the collections are capitalized at costs if purchased or at estimated fair value on the acquisition date if donated. Collection items sold or removed are reported as gains or losses without donor restrictions or with donor restrictions depending on donor stipulations, if any, placed on the items at the time of acquisition. It is the policy of the university to recognize contributions of works of art as a capitalized asset because the items are held for public exhibition rather than financial gain. However, such works of art are not subject to depreciation. Standard university procedures are used in accessioning, deaccessioning, cataloging, and managing objects. The university provides a clean, safe, and stable storage environment for its collections. There were no deaccessions in 2025 and 2024.

Walsh university owns the hoover historical center of walsh university, which is a small museum that houses a collection of vacuum cleaners and other items from the hoover company. The hoover historical center was donated to walsh university in 2004 and now supports the museum studies program at the university.

The University offers the following degrees: Associate of Arts; Associate of Science in Computer Science; Bachelor of Arts; Bachelor of Science; Bachelor of Science in Education; Bachelor of Science in Nursing; Master of Arts in Education; Master of Business Administration (MBA); Master of Arts in Counseling and Human Development; Master of Arts in Theology; Master of Dyslexia Therapy, Master of Science in Exercise Physiology, Master of Science in Nursing; Master of Occupational Therapy; Doctor of Nursing Practice; and Doctor of Physical Therapy. Walsh University is accredited by the following organizations: North Central Association/Higher Learning Commission; National League for Nursing Accrediting Commission; The Commission on Accreditation in Physical Therapy Education; Council for Accreditation of Counseling and Related Educational Programs; Ohio Department of Education; Ohio Board of Counseling & Social Work; Accreditation Council for Business Schools and Programs; and the American Physical Therapy Association. Walsh University's library houses 68,933 volumes, 20 current print journal subscriptions, 3,679 audio visual titles on physical media, 48,979 streaming educational videos, and 192 electronic databases. The University also has access to 547,519 electronic books, and 119,846 electronic serials. The Walsh library is a member of OCLC, OhioLINK, OHIONET and OPAL (Ohio Private Academic Libraries) and all library resources are searchable through the library's online catalog and discovery service. The Student Affairs team is committed to the holistic development of students, firmly believing that all students have the potential to become valuable assets to our world community. Members of the Student Affairs team embody the Christian values espoused in the University mission statement, exemplified by our care and concern for students, relationships, and the community. Walsh University provides over 800 students with housing and dining services. Several of the ten residence halls are newly renovated and offer apartment-style and suite-style living. Dining service facilities include the Schervish Dining Hall, the Betzler Grille, the Cavalier Cafe and the Sword Stop offering various meal plan selections and dining innovations. Walsh University's athletic program offers 28 different men's and women's athletic teams and continues to enjoy a winning tradition. Walsh University Athletics was granted full membership into the NCAA Division II at the beginning of the 2013-2014 academic year. As full members of the Great Midwest Athletic Conference (G-MAC) 20 of our NCAA sports compete for G-MAC Conference Championships. We have continued our winning traditions in the GMAC. During fiscal year 2025, the University added Men and Women's Rugby programs. Additionally, Walsh offers club sports including Sprint football and men's bowling. During fiscal year 2025, the University replaced several roofs across campus. The University installed goalposts and a scoreboard for the newly added rugby programs. Walsh University has been consistently recognized for its excellence in academic and student-focused programming by renowned organizations such as The Newman Guide to Choosing a Catholic College, National Colleges of Distinction, U.S. News & World Report as a Top Regional University in the Midwest and by Victory Media as a Military Friendly School, ranking in the top 4 for private schools offering a doctorate.
