UPON REVIEW OF THESE DOCUMENTS WITH THE ACCOUNTANTS, THEY ARE THEN PRESENTED TO THE BOARD by paper and electronically FOR REVIEW AND DISCUSSIONS. ONCE THE DOCUMENTS ARE APPROVED BY THE BOARD THEY ARE THEN FILED WITH THE TAXING AUTHORITIES.”

“Trustees are expected to identify any potential Conflicts of Interest at the annual Board Retreat, held each Fall, at which time they also execute the Conflict of Interest Disclosure. Potential Conflicts that may arise subsequent to the annual Board Retreat are identified by involved Trustees at interim Board Meetings. Potential Conflicts may also be identified by the Board President, who is also a member of the Academys administration. The Board shall determine, at such time as the disclosure is made to that body, whether the disclosure shows that a conflict of interest exists or could reasonably be construed to exist. If the Board determines that such a conflict exists or could reasonably be construed to exist, such Trustee shall not vote on, nor use his or her personal influence on, nor participate (other than to present factual information or to respond to questions) in the discussions or deliberations with respect to such contract or transaction. Such Trustee may be counted in determining the existence of a quorum at any meeting wherein the contract or transaction is under discussion or is being acted upon. The minutes of the Board shall reflect the disclosure made, the Board's determination with respect thereto and where applicable, the Trustee's abstention from voting and participation at any meeting of the board. The conflict of interest policy covers any Director, Principal officer, or member of a committee with governing board delegated powers.”
