Governance Explanations

FORM 990, PART VI, SECTION A, LINE 7A:

The president of San Diego State University and the Vice President for University Relations and Development are designated board members with full voting rights. The president of the university must approve nominees to the board of directors in writing prior to the Board of Directors final approval and appointment.

FORM 990, PART VI, SECTION A, LINE 7B:

In accordance with the California Code of Regulations Section 42402, the university president is required to assure that the Foundation acts in conformance with policies of the California State university system and those of San Diego State University. In this regard, the President can discontinue any program or expenditures that he or she determines inconsistent with the aforementioned policies.

FORM 990, PART VI, SECTION B, LINE 11:

A draft copy of the form 990 was provided to the Foundation's Audit Committee for review and approval prior to filing. As part of the review process, the Foundation's CFO explained any changes to the form 990 and answered all committee members' questions. Subsequent to this review, the final draft was provided to the full Board of Trustees for their review and all questions were answered by the Foundation's CFO.

FORM 990, PART VI, SECTION B, LINE 12C:

The Campanile Foundation provides each board member with a written copy of the Foundation's Conflict of Interest Policy annually. Upon receipt, Foundation directors are asked to review the policy and disclose any potential conflicts in writing. The Foundation's secretary then reviews conflict of interest statements and reports any conflict to the University Vice President for Business and Financial Affairs, and works with the Board of Directors to ensure no action is taken by the Board in a manner inconsistent with existing policy.

PROGRAM SERVICE ACCOMPLISHMENTS: The Campanile Foundation administers programs that support the university's individual colleges. During the year reported in this tax return, the Campanile Foundation provided $1,967,047 as part of program services to support The College of Professional Studies and Fine Arts at the University. The College of Professional Studies and Fine Arts prepares the next generations of entertainment arts professionals by encouraging students to develop creative potential as artists, scholars, leaders and global citizens through scholarly study, artistic experimentation and practical experience. The college includes the nationally-recognized school of Theatre, Television and Film, home to one of only two remaining master of fine arts Musical Theatre programs in the nation. The remaining $6,775,153 of program expenses reflect support of all other programs throughout the university including, but not limited to, Health and Human Services; Arts and Letters; Engineering; Education; Sciences; Business Administration; as well as student services such as Library Services; student clubs, organizations & activities; Career Services; Academic Services; and Undergraduate Studies.

Financial Statement Notes

PART III, LINE 1A:

The Campanile Foundation accepts various historical collections and treasures as donations in-kind on behalf of San Diego State University (SDSU). Once accepted by the Foundation, donations of historical treasures and works of art are transferred to the custody of SDSU pursuant to donor stipulations and/or due to the value of the item in furthering the university's educational mission.

PART V, LINE 4:

The Campanile Foundation's Endowment funds are dedicated for the benefit of San Diego State University. Endowments generally support program excellence, student scholarships administered by the university and faculty excellence. The vast majority of the Campanile Foundation's endowments are donor restricted to a specific use at San Diego State University.

PART IX, LINE 1A:

Due from affiliate - reflects amounts held on behalf of the Campanile Foundation by the San Diego State University Research Foundation.

PART IX, LINE 1B:

The Foundation acts as A trustee for various charitable remainder trusts. Discounted value of the beneficial interest of these trusts is reported as an asset on the face of the Foundation's financial statements.

PART X, LINE 2:

The campanile foundation (tcf) is a qualified nonprofit organization that is exempt from income taxes under section 501(c)(3) of the internal revenue code and section 23701(d) of the california revenue and taxation code. This exemption is for all income taxes except those assessed on unrelated business taxable income ("ubit"), if any. In order to maintain that status, tcf is precluded from making certain expenditures, principally in support of political parties. Management believes that no such expenditures have been made. Tcf is not a private foundation. Tcf adopted accounting guidance relating to accounting for uncertainty in income taxes, which is primarily codified in the financial accounting standards board ("fasb") accounting standards codification 740. Tcf files a form 990 (return of organization exempt from income tax) annually. When these returns are filed, it is highly certain that some positions taken would be sustained upon examination by the taxing authorities, while others are subject to uncertainty about the merits of the tax position taken or the amount of the position that would ultimately be sustained. Examples of tax positions common to tcf include such matters as the tax-exempt status of the entity and various positions relative to potential sources of ubit. Ubit is reported on form 990, as appropriate. The benefit of the tax position is recognized in the financial statements in the period during which, based on all available evidence, management believes it is more likely than not that the position will be sustained upon examintation, including the resolutions of appeals or litigation processes, if any. Tax positions are not offset or aggregated with other positions. Tax positions that meet the more-likely-than-not recognition threshold are measured as the largest amount of tax benefit that more than 50 percent likely to be realized on settlement with the applicable taxing authority. The portion of the benefits associated with tax positions taken that exceeds the amount measured as described above is reflected as a liability for unrecognized tax benefits in the accompanying statements of financial position, along with any associated interest and penalties that would be payable to the taxing authorities upon examination. Upon adoption and as of june 30, 2015, tcf has addressed uncertainty in its income tax position under this guidance, and there are no unrecognized/derecognized tax benefits that require an accrual. Form 990 filed by tcf is subject to examination by the irs up to three years from the extended due date of each return. Management believes form 990 has been filed appropriately. Form 990 filed by tcf is no longer subject to examination for the fiscal years ended june 30, 2011 and prior.

PART X, LINE 1, QUESTION 2:

San Diego State University Research Foundation's endowment funds participate in the Campanile Foundation's long-term investment pool. Amounts are recorded as a "due to SDSURF" on The Campanile Foundation's financial statements.
