On November 17, 2014, the Board of Directors adopted Articles of Incorporation and Restated Bylaws of The Charles A. Becker Foundation.

Form 990, Part VI, Section B, Line 11B

Form 990 is provided to each Board member for review and comment before filing.

Form 990, Part VI, Section B, Line 12C

A conflict of interest form is distributed to each Director at each annual meeting for their execution at said annual meeting. Newly executed forms will replace the previous, until such time disclosure information is provided. All forms with disclosed information will be retained as long as the Director stays on the Board. At such time disclosure by any member raises concern, the Board will determine necessary action - ranging from further inquiry, cease and desist, or removal from the Board - to be entered in the minutes of said meeting such action is taken.

Compensation ceilings and benchmarks are determined using comparable compensation data tables found in the annual Foundation Operations and Management Report, compiled and published by the Association of Small Foundations 1720 N St., NW, Washington, DC 20036, www.smallfoundations.org. The report is categorically broken down Foundation location, asset size, position full-time/part-time, Director length of experience, etc.. Reviewed annually, the Board of Directors establishes and agrees upon reasonable Director compensation.

Newly executed forms will replace the previous, until such time disclosure information is provided. All forms with disclosed information will be retained as long as the Director stays on the Board. At such time disclosure by any member raises concern, the Board will determine necessary action - ranging from further inquiry, cease and desist, or removal from the Board - to be entered in the minutes of said meeting such action is taken.
