Governance Explanations

Form 990, Part VI, Section B, Line 11B

The board of directors of affordable housing clearinghouse has a finance committee responsible for the reviewing of financial statements and audit reports, both of which are relevant in preparation of the irs form 990. The executive director presents and distributes draft copies of the audit report and form 990 to the full board of directors prior to signing. The board also acts as audit committee, which makes recommendations for executive director signature.

On an annual basis officers, directors or trustees, and key employees must complete a conflict-of-interest form and the ineligible participant policy (hud requirement).

On an annual basis, a performance review of the executive director is conducted by the executive committee. This committee consists of the board and officers. The committee uses a form to evaluate the executive directors performance and set compensation.

Part X : FIN48 Footnote

Part x,line 2: affordable housing clearinghouse is exempt from federal income taxes under section 501(c)(3) of the internal revenue code (the "code"), and is exempt from state income taxes under the comparable state tax code, as charitable organizations whereby only unrelated income, as defined by section 512(a)(1) of the code, is subject to federal income tax. The entity files an exempt organization return in the u.s. Federal jurisdiction and the state of california. The organization follows the accounting standard for contingencies in evaluating uncertain tax positions. The guidance prescribes recognition threshold principles for finanical statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized. No liability has been recognized by the organization for uncertain tax positions as of june 30, 2025 and 2024.
