Mission

Carina is an online platform for individual providers and state-funded home care clients to find each other for work and support. This is a service supported through an agreement between the State of Washington and SEIU 775.

Carina is organized to support communities and individuals as they seek to fulfill their needs for in-home care; and to provide innovative ways to help improve the welfare of in-home caregivers and in-home care seekers.

Governance Explanations

Form 990, Part VI, Section B, line 11B

The Form 990 was prepared by the independent accounting firm SCHOEDEL & SCHOEDEL, Certified Public Accountants, PLLC from information provided by the SEIU Healthcare NW Training Partnership's Finance Director and Carina's Executive Director. Draft copies of Carina's financial statements and Form 990 were first provided to the Finance Director and the executive director of Carina (Carina's ED), who reviewed the Form 990 for accuracy and completeness. Any questions, concerns or issues raised by the Finance Director and Carina's ED were addressed and any necessary revisions were made to the Form 990. The revised Form 990 was then provided to the Board of Directors for its review and approval. Any additional questions, concerns or issues raised by the Board of Directors were addressed and any necessary revisions were made to the Form 990. The final version of the Form 990 was reviewed and approved for filing by the Board of Directors.

Form 990, Part VI, Section B, line 12C

All interested persons (any director, principal officer, or member of a committee with Board delegated powers) has an ongoing duty to disclose all material facts to the Board of Directors about any actual or potential conflicts of interest as soon as such facts become known or should have become known. Each interested person annually signs a statement which affirms that he or she: has received a copy of Carina's Conflict of Interest Policy (Policy); has read and understands the Policy; agrees to comply with the Policy; and understands that Carina is a charitable organization, and in order to maintain its federal tax exemption, Carina must engage primarily in activities which accomplish one or more of its tax-exempt purposes. To ensure that Carina operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, the Board of Directors undertake periodic reviews which include: whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm's length bargaining; and whether partnerships, joint ventures, and arrangements with management organizations conform to Carina's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit, or an excess benefit transaction. To assist the Board of Directors with its periodic reviews, all proposed relationships and contracts with service providers, as well as all proposed investments that would be made by the organization, are provided to and reviewed by Carina's legal counsel.

Compensation of the Carina's executive director is determined based on review and approval by the organization's Board of Directors. In determining the executive director's compensation, the Board of Directors uses competent survey information and contemporaneously documents the substantiation of the deliberation and decision.

The Board of Directors is comprised of three individuals. Carina does not compensate individuals to serve on its Board. The employers of the Directors may consider service on Carina's Board when setting compensation. However, Carina does not readily have access to information related to compensation paid by other entities to the Directors.

Draft copies of Carina's financial statements and Form 990 were first provided to the Finance Director and the executive director of Carina (Carina's ED), who reviewed the Form 990 for accuracy and completeness. Any questions, concerns or issues raised by the Finance Director and Carina's ED were addressed and any necessary revisions were made to the Form 990. The revised Form 990 was then provided to the Board of Directors for its review and approval. Any additional questions, concerns or issues raised by the Board of Directors were addressed and any necessary revisions were made to the Form 990. The final version of the Form 990 was reviewed and approved for filing by the Board of Directors.

Each interested person annually signs a statement which affirms that he or she: has received a copy of Carina's Conflict of Interest Policy (Policy); has read and understands the Policy; agrees to comply with the Policy; and understands that Carina is a charitable organization, and in order to maintain its federal tax exemption, Carina must engage primarily in activities which accomplish one or more of its tax-exempt purposes. To ensure that Carina operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, the Board of Directors undertake periodic reviews which include: whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm's length bargaining; and whether partnerships, joint ventures, and arrangements with management organizations conform to Carina's written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further charitable purposes and do not result in inurement, impermissible private benefit, or an excess benefit transaction. To assist the Board of Directors with its periodic reviews, all proposed relationships and contracts with service providers, as well as all proposed investments that would be made by the organization, are provided to and reviewed by Carina's legal counsel.
