Mission and Program Overview

Mission

Discovere is a coalition providing every student with a shared stem experience and the resources, programs, and connections to improve the understanding of engineering through a united voice and a global distribution network. Discovere helps stakeholders expand community and educational outreach by: providing resources and turnkey programs for employees and volunteers; supporting strong career connected learning initiatives; promoting positive visibility within the engineering and technology communities, including college students and the public-at-large. Discovere, with its working coalition of 100+ organizations, is known as one of the most effective collaborations today, recognized by corporations and engineering societies and mentioned in two reports by the national academy of engineering.

Discovere is the backbone organization behind national engineers week (established 1951), introduce a girl to engineering day (2001), world engineering day (2016, formerly known as global day of the engineer), the persist series (2005), and the future city competition (1993). Our programs and resources have been adopted by individuals and organizations around the globe.

Governance Explanations

Form 990, Part VI, Section A, Line 3

In jan 2021, the mou agreement was cancelled with nspe.

Form 990, Part VI, Section A, Line 4

The number of directors changed from 7 to 9, with one appointed by nspe as a founding member. The terms of the directors changed from 1 year term to 3 year terms. Bylaws added a governance and nominating committee; and a finance, audit and budget committee; and a vice president as an officer.

Form 990, Part VI, Section A, Line 8B

The organization does not have committees with authority to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11B

A draft of the form 990 is reviewed by the organization's board of directors prior to being filed with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Disclosure should be made according to discovere standards. Transactions with related parties may be undertaken only if all of the following are observed: 1) a material transaction is fully disclosed in the audited financial statements of the organization 2) the related party is excluded from the discussion and approval of such transaction; 3) a competitive bid or comparable valuation exists; and 4) the organization's board has acted upon and demonstrated that the transaction is in the best interest of the organization. Staff disclosures should be made to the chief executive (or if he or she is the one with the conflict, then to the board or designated committee), who shall determine whether a conflict exists and is material, and if the matters are material, bring them to the attention of the board or designated committee. Disclosure involving directors should be made to the board or designated committee. The board shall determine whether a conflict exists and is material, and in the presence of an existing material conflict, whether the contemplated transaction may be authorized as just, fair, and reasonable to discovere. The decision of the board on these matters will rest in their sole discretion, and their concern must be the welfare of discovere and the advancement of its purpose.

Form 990, Part VI, Section B, Line 15A

Comparability data is used to determine executive director compensation.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

Financial Statement Notes

PART X, LINE 2:

The foundation assesses whether it is more likely than not that an income tax position will be sustained upon examination on the technical merits of the position assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more likely than not recognition threshold, the benefit of that tax position is not recognized in the financial statements. The foundation has determined there are no amounts to record as assets or liabilities related to uncertain income tax positions as of june 30, 2021 and 2020. Tax filings are subject to audit by various taxing authorities. Open periods subject to audit are generally the previous three years of tax returns filed.
