Form 990, Part VI, Section B, Line 11B

A copy of form 990 is provided to each director for review either by paper or electronically. Each director is asked to review the draft and encouraged to ask questions. At a scheduled board meeting prior to the due date of form 990, the board approves the 990 for submission to the IRS.

Form 990, Part VI, Section B, Line 15B

Each year a committee composed of selected board members conducts a job performance review of the President/CEO. They gather comments from the entire board of directors, consult nationwide surveys of other similar foundations, and submit written questions to the President/CEO. The committee reviews the data and information, deliberates, and formulates recommendations for the entire board of directors to determine the President/CEOs compensation.

Each year the directors are ask to provide any information that might indicate a conflict of interest with their involvement in their duties as directors of the Board. Financial Statement Notes

The intended use of the endowment funds is to enhance the quality of life for the Marion, Ohio area by fostering philanthropy and providing a vehicle for giving through various charitable grants and scholarships.

The Foundation follows ASC No 958-325-25 Recognition Not-for-Profit topic which states that a transfer of assets in which the resource provider specifies itself as the beneficiary, the transaction is not a contribution and shall be recorded as a liability even if variance power has been explicitly granted to the recipient organization. Accordingly, the Foundation recognizes funds contributed to organizationsl endowment funds by the beneficiary as agent liabilities.

The Foundation has been determined by the Internal Revenue Service to be exempt from Federal Income taxes as a nonprofit organization under Section 501c3 of the Ingternal Revenue Code and classified by the Internal Revenue Service as other than a private foundation and, as a reuslt, a provision for taxes is not required. The Foundation follows ASC No 740-10 Accounting for Uncertainity in Income Taxes. The Foundation has no uncertain tax positions as of June 30, 2016.

Each year scholarships are awarded from Field of Interest endowed and nonendowed funds to various students meeting the qualifying criteria set forth in the fund documents. The scholarship committee, along with donor selection committees, review the applications and recommend the acceptable receipents. Finally the board of trustees approves the scholarships and the scholarships are awarded.

In 1998 and 1999 the Foundation sold the assets of the hospital and pharmacies. The unpaid patient accounts receivable have been subsequently collected and reported as income from discountinued services to the Foundation. In addition, small amounts of money have been received as refunds due to overpayments of accounts payable.
