The policies are viewed annually by the board. Each board member signs a conflict of interest policy and confidentiality policy As well as participating in conflict management education. The executive secretary obtains all signed copies by the board members. Any conflicts that arise during the year are directed to the board chairperson.

The CEO's compensation is determined by a write up from Management Performance International (MPI). The other compensation is determined by salary surveys by MPI and data from the Ohio Hospital Association (OHA). The Human Resource Director and CEO review those determinations.

The intended purpose of the endowment is to provide unrestricted income.

Part X, Line 2:

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken and recognize a tax liability if an uncertain position has been taken that more likely than not would not be sustained upon examination by various federal and state taxing authorities. Management has analyzed the tax positions taken by these entities, and has concluded that as of december 31, 2015 and 2014, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the accompanying financial statements. The entities are subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.
