“Mid-ohio district nurses association (modna) has one class of members, in which all members have the same rights. The rights of the organization consist of participating in the governing board and officer elections, serving as modna delegates at ona conventions and special meetings, or in any modna elected or appointed position, if so qualified and selected, attending meetings or other unrestricted activities of modna, ona and ana, receiving regular communications and utilizing services of modna, ona, and ana.”

“The organization only has one class of members and all members have the right to participate in elections of the officers and board of directors.”

“Proposed bylaw changes may only be amended at an annual meeting of members and require a two-thirds affirmative vote of all members present and voting (if advance notice of proposed change has been shared with all members at least two weeks prior to vote). If advance notice requirements of proposed bylaw changes are not communicated to members at least two weeks prior to vote, then a 99% affirmative vote of all members present and voting is required.”

“A copy of the form 990 will be provided to all board members electronically prior to filing with irs. The form 990 will be presented and reviewed at the next board meeting.”

“The organization's officers and members are required annually to complete a conflict of interest form. Then, the board follows up on any conflicts.”

“The executive director prepares draft budgets for the finance committee. The president of the association evaluates the executive director. The executive director evaluates the remaining staff.”

“The organization makes its governing documents, conflict of interest policy, and financial statements available upon request.”

“And promote professional development of nurses.”
