Governance Explanations

Form 990, Part VI, Section A, Line 3

Property management of the project is contracted with eskaton properties incorporated ("eskaton") through september 30, 2025. In connection with management and supervision of the operation of the project, eskaton is entitled to a monthly fee up to the lesser of $28,750 or 6% of the total gross revenues, with a minimum monthly payment of $14,375. For the year ended december 31, 2024, property management fees incurred were $510,743.

Any director or officer that has a financial interest, directly or indirectly, must disclose it before a consideration or vote of the transaction is made by the board of directors (bod). The person that has the conflict is responsible for recusing themselves from the discussion and vote. The bod minutes reflect such discussions. Each year the directors and officers sign a statement to denote if conflicts existed during the year. If such a conflict existed, the director or officer discloses the nature of the conflict. The organization also does periodic reviews to ensure compensation is reasonable and goods and services received are arms-length and conform with internal policies.

The escrow liability amounts on form 990, part x, line 21 consist of tenant security deposits.

PART X, LINE 2:

The corporation has applied for and received a determination letter from the internal revenue service ("irs") to be treated as a tax-exempt entity pursuant to section 501(c)(3) of the internal revenue code and did not have any unrelated business income for the years ended december 31, 2024 and 2023. Due to its tax-exempt status, the corporation is not subject to income taxes. The corporation is required to file and does file tax returns with the irs and other taxing authorities. Management has analyzed the tax positions taken by the corporation and has concluded that, as of december 31, 2024 and 2023, there are no uncertain tax positions taken or expected to be taken that would require recognition of a liability (or asset) or disclosure in the financial statements. Accordingly, these financial statements do not reflect a provision for income taxes and the corporation has no other tax positions which must be considered for disclosure. Income tax returns filed by the corporation are subject to examination by the irs for a period of three years. While no income tax returns are currently being examined by the irs, tax years since 2021 remain open.
