“Membership is open to any corporation which manufactures products that fall within the scope of the association. Applications for membership are reviewed by the membership and scope committee of the board, and are approved by majority vote of the full board of directors. Eca has three classes of membership - regular manufacturer membership, associate membership, and affiliate membership.”

“Senior executives of regular member organizations who are active participants in the affairs of the association are eligible to serve on the eca board of directors. Election of directors takes place at the annual general membership meeting.”

“Eca's form 990 is prepared by an accounting firm using information furnished by eca. The completed returns are reviewed by eca's management to verify the accuracy of the information input by the accounting firm. Once this is satisfactorily completed, the forms are submitted to the irs.”

“All officers, directors, trustees and key employees are asked to review the conflict of interest policy annually.”

“The compensation committee is a standing committee of the eca board of directors whose duties are to review the staff responsibilities and the salary structure for the association. The committee also reviews the performance of senior staff, including the president. Comparability data for similar positions in the industry are periodically reviewed.”

“Eca's bylaws are available to the general public on its website (www.ecaus.org). Eca's conflict of interest policy is contained within the employee handbook and could be made available upon request. Eca's compiled financial statements could be made available upon request.”

“As part of its duties, eca's finance committee reviews performance of all outsourced activities pertaining to accounting for the association. This process has remained unchanged from the previous year.”
