Governance Explanations

Form 990, Part VI, Section A, Line 3

Community development collaborative of greater columbus (cdcgc) has delegated the management duties to the affordable housing trust for columbus and franklin county (ahtcfc), an ohio not-for-profit organization. Lark mallory, executive director of cdcgc, is also an employee of the management company and is compensated for her services by the management company. Because lark performs many duties for ahtcfc, it is not possible to determine the amount of her compensation associated with managing cdcgc.

Form 990, Part VI, Section A, Line 6

The organization has members. Members consist of entities, public or private, that contribute a minimum of $25,000 to the organization in a twelve-month program year.

Form 990, Part VI, Section A, Line 7A

The powers and duties of the members are limited to the appointment of trustees.

Form 990, Part VI, Section B, Line 11B

The executive committee receives a draft of the form 990 before it is filed. Upon acceptance of the draft by the executive committee, the return is formally filed. This action by the executive committee is reported to the full board during the next scheduled meeting.

Form 990, Part VI, Section B, Line 12C

No board of trustee member or officer shall participate in any matter if there is a potential conflict of interest. All trustees, members, and officers shall identify any conflicts of interest as soon as they are aware and the chair of the board is to be notified of such conflict. The policy is signed and updated annually.

Form 990, Part VI, Section C, Line 19

Governing documents are made available to the public upon request.

FORM 990, PART XII, LINE 2C:

Financial Statement Notes

PART X, LINE 2:

No provision or benefit for income taxes has been included in these financial statements since cdcgc has been recognized by the internal revenue service as a not-for-profit corporation exempt from federal income taxes under 501(c)(3) of the internal revenue code. Cdcgc is tax exempt except for unrelated business income. Additionally, cdcgc has been designated as an organization other than a private foundation. Cdcgc did not have unrelated business income during the years ended december 31, 2023 or 2022. Cdcgc has adopted the provisions of accounting for uncertainty in income taxes. These provisions clarify the accounting and recognition for income tax positions taken or expected to be taken in the cdcgc's income tax returns. Cdcgc's income tax filings are subject to audit by various taxing authorities. Cdcgc's policy with regard to interest and penalties is to recognize interest expense and penalties through expense. In evaluating cdcgc's tax provisions and accruals, future taxable income, and the reversal of temporary differences, interpretations and tax planning strategies are considered. Cdcgc believes its estimates are appropriate based on current facts and circumstances.
