Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

A completed Form 990 is provided to all members of the board of directors, at least one week prior to a meeting held for the purpose of reviewing the form 990. After review, and inclusion of any amendments, the board of directors will authorize its submission.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

The conflict of interest policy was established on October 24, 2006. An annual Conflict of Interest Questionnaire, that requires disclosure of any actual or potential conflicts of interest, is completed each year by board members and key employees. The conflict of Interest Questionnaires are reviewed annually by the board.

Form 990, Part VI, Line 15B: Compensation Review and Approval Process for Officers and Key Employees

The Board established the Executive Compensation Policy Statement on April 28, 2007. The policy requires independent board members to determine the bounds of comparable compensation within comparable organizations of similar size and geographical area or areas similar to it. Several documents including but not limited to the United Way of Central Ohio Salary & Benefits Report and Guidestar Compensation report are used to establish comparable data. The board documents the basis for its determination in the minutes of the board meeting called for the purpose of setting executive compensation.

Form 990, Part VI, Line 19: Other Organization Documents Publicly Available

Governing documents, conflict of interest policy and financial statements are maintained at the primary office facility of Advocates for kids. These documents are made available for viewing by the public during regular business hours. Viewing of these documents by the public at times outside of the regular business hours is permissible but by appointment only.
