Governance Explanations

Form 990, Part VI, Section B, Line 11B

The board of directors can access a draft of form 990 on a secure part of the organization's web site. They have an opportunity to review it prior to discussion at the board meeting. At that time, the return is reviewed collectively and approved by the board prior to filing.

Form 990, Part VI, Section B, Line 12C

The conflict of interest statements are signed on an annual basis in the month of may. The board president and ceo review for any potential conflicts and these are brought to the attention of the entire board. Board members receive training on an annual basis by the corporate attorney who specifically addresses board responsibilities and conflicts. In the event of a conflict, the board member is requested to abstain from voting on issues and this is recorded in the minutes.

Form 990, Part VI, Section B, Line 15

Board members respond to a questionnaire annually about the ceo's performance. They also review the pay and benefits survey information for similar organizations in indiana when setting compensation. The board president then meets with the ceo to discuss the board's recommendations and negotiate the wage and benefit package which also includes technology to help the ceo stay in touch when not onsite.

The art gallery at pines village offers artistic experiences to the community to enhance its appreciation and understanding of various art forms.

PART V, LINE 4:

The donors intended the endowment funds to be used to provide resources to residents when financial circumstances change.

PART X, LINE 2:

The organization is exempt from taxes under the provisions of section 501(c)(3) of the internal revenue code, though it is subject to tax on income unrelated to its exempt purpose, unless that income is otherwise excluded by the internal revenue code. In addition, the organization has been determined by the internal revenue service not to be a private foundation within the meaning of section 509(a) of the internal revenue code. The organization has unrelated business income related to certain rental activities and the cafe; however, there was no taxable income after deductions for the years ended december 31, 2024 and 2023. The organization files u.s. Federal and state of indiana information and income tax returns. The organization is no longer subject to u.s. Federal and state income tax examinations by tax authorities for years before 2021. Management believes that the organization's income tax filing positions will be sustained on audit and does not anticipate any adjustments that will result in material change.

RESIDENTIAL LIVING IS ALSO PROVIDED IN DUET HOMES AT MERIDIAN WOODS ON 39 ACRES. THE 109 RESIDENTS THERE ARE GIVEN PRIORITY ACCESS TO PINES VILLAGE APARTMENTS WITH ACCESS TO HOME CARE, HOUSEKEEPING SERVICES, TRANSPORTATION, DINING SERVICES, AND HANDYMAN SERVICES. STAFF PARTICIPATE WITH MANY COMMUNITY PARTNERS IN NUMEROUS LOCAL, STATE AND NATIONAL ORGANIZATIONS, INCLUDING ELDERSTYLE AND LEADING AGE. A TOTAL OF 7,110 HOURS WERE DEVOTED TO BOTH COMMUNITY AND NON-RESIDENT SENIOR ACTIVITIES. RESIDENTS ARE ELIGIBLE TO REQUEST FINANCIAL SUPPORT FROM PINES VILLAGE IF THEIR ASSETS ARE DEPLETED DUE TO LONGEVITY.
