Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The director of finance will be primarily responsible for facilitating the preparation of the irs form 990 (hereinafter "form 990") in compliance with irs regulations. He/she will work to provide information to the outside auditors for the preparation of the form 990. In advance of the filing deadline, once the form 990 has been completed, it will be submitted to the finance committee for review. After the finance committee has approved the form 990, it will be presented to the executive committee. Once the executive committee has approved it, it will be presented to the full board for review and approval prior to submission to the irs. At each level of review, the copies of the form 990 may be transmitted in either paper or electronic copy.

Conflicts of interest must be reported immediately; disclosure of conflicts of interest is an essential and ongoing obligation for board members in the course of their duties. If a conflict of interest is identified, it should be discussed with the president and chairman of the board to identify the proper course of remedial action. These actions may range from recusal in any business transactions involving science central or the other interested organization to withdrawing from involvement in the other organization's business or board of directors to other actions that assure the conflict of interest or even the appearance of a conflict of interest may be avoided.

Science central's executive committee reviews and establishes (or makes a recommendation to the full board for approval) executive compensation on an annual basis, usually in the first month of the fiscal year, based on the following factors: a. Achievement of goals and objectives as established by the executive committee, either through the establishment of such goals and objectives on an annual basis and/or successful implementation of a board approved strategic plan during the just concluded fiscal year. B. A survey of executive compensation for not-for-profit executive directors/presidents in the fort wayne, allen county and northeast indiana area, as such information is available c. Availability of funding as determined during preparation of the fiscal year's budget and approved by the executive committee or full board of directors.

2)international kids day festival at science central science central joined forces with radio station la unica 102.3 fm (fort wayne's spanish-speaking radio station) to celebrate international kids day - traditionally celebrated on april 30 to honor children. This tradition started in 1925 and science central was proud to partner with 102.3 to honor children throughout the fort wayne area. 3)science on a sphere wins 2014 construction award for "best renovation - under 2 million category" by the building contractors association of northeast indiana 4)traveling exhibitions - "marvelous molecules" (biology), "in the dark" (environment), and "expedition earth" (environment) 5)hosted first "special abilities day" at science central in association with the aws foundation. Through the generosity of the aws foundation, science central presented "special abilities day," a day designed to provide a variety of activities and programming designed to stimulate and enhance learning for those with special abilities. Visitors engage in special tactile activities such as "mystery shapes," making glacial gak, and scent smelling stations. Science central also provided more ambient lighting in science on a sphere, and provided virtual tours of the solar system with 3-dimensional and braille materials. Listening assistance devices for hearing-challenged individuals were also made available. This special day accommodated those with mental, physical or emotional challenges. 6)secured 40,000 from the lincoln financial foundation to continue programming and operation of science central's lincoln financial foundation demonstration theater. The theatre is home to science central's internal demonstration programs, providing a setting where school students and visitors of all ages can participate in hands-on science demonstrations and activities. The lincoln financial foundation has been the primary sponsor for programs and events conducted in the theater space, and for supplies needed to conduct the daily demonstrations. 7)opened new exhibits: nanotechnology, megawire, and hyperbola 8)continued to host the first lego league indiana qualifying tournament more than 700 students, teachers and family members attend science central's annual first lego league (fll) indiana qualifying tournament. Legos and robots come together to help teams compete and solve problems. 9)science central successfully manages first adults-only, ticketed evening event - selling out at 500 tickets (murder mystery - my cold-hearted valentine). Science central hosted its first adults-only murder mystery event with an evening of interviewing "suspects" and learning techniques used by forensic scientists to investigate murder cases all while enjoying a night of mingling and event-themed food and drinks. The event sold out days in advance at 500 tickets.

The organization is exempt from income tax under section 501(c)(3) of the internal revenue code, and qualifies for the 50% charitable contributions deduction limitation. The organization has been classified as an organization that is not a private foundation under section 509(a) of the internal revenue code. The organization's income tax filings are subject to audit by various taxing authorities. The organization is no longer subject to income tax examinations by taxing authorities for tax years ending on or before march 31, 2011. The organization's management has determined that there are no events that would more likely than not cause the above tax position to change within the next twelve months.
