“Oregon swimming, inc., has 68 local swim clubs under its umbrella organization. Each club is autonomous but also sends two delegates that represent their individual club to oregon swimming inc.'s house of delegates.”

“The organization has 68 member local swim clubs. Each club has two voting delegates who serve in the house of delegates. Additionally, several swimmers also serve as delegates. These delegates have the right to vote on all board decisions including the election of board of directors.”

“The governing body or house of delegates (hod) includes two represenatives from each of the 68 member local swim clubs (136 delegates). In addition, there are 16 officers, board members and committee chairman who also serve in the governing body. The board of directors and officers can enact policy for oregon swimming, inc. The policy is implemented but must be ratified by the house of delegates in their next meeting. If hod concurs the policy remains in force. If the hod vote is not favorable, the policy is withdrawn. Half of the board of directors is elected each year at the annual house of delegates. Officers serve 2 years. The officials' chair is elected by the local swim club (lsc) officials and serves a 3 year term.”

“The house of delegates which is comprised of "delegates" from each of the member swim clubs vote to ratify or veto actions of the board of directors.”

“The form 990 is presented to the treasurer who reviews the tax return and presents it to the president for review before signing. The form 990 is available to all board of directors for their review.”

“The following two statements are read at the beginning of each board meeting: 1. Is any member aware of any conflict of interest (that is, or a personal interest or direct or indirect pecuniary interest) in any matter being considered by this meeting which should ow be reported or disclosed or addressed under the usa swimming conflict of interest policy? 2. If a board member determines there to be a conflict of interest at any point during the course of the meeting when a specific subject is being discussed and/or action is being taken, a declaration of a conflict of interest would be made at that time.”

“The board of directors meets in a closed session and determines compensation and benefits of employees. Compensation is recommended by a compensation committee and a compensation survey. Salary and benefits are approved in the annual budget by the house of delegates.”
