During the intervals between meetings of the board of directors and subject to such direction as the board of directors may, from time to time, provide, the executive committee shall have and may exercise the powers of the board of directors in the management of the affairs of the corporation; provided, however, that the executive committee shall not have the power to fill vacancies among the directors.
