Governance Explanations

Form 990, Part VI, Section B, Line 11

Reviewed by the executive staff and the finance and audit committee of the board

Form 990, Part VI, Section B, Line 12C

The president/ceo and the board chair monitor operations and transactions for potential conflicts of interest through direct conversations and executive committee inquiries. The policy covers all directors, officers, and executive leadership team members. If conflict arises, the board will investigate alternatives to the proposed transaction, and determine if further action is required.

Form 990, Part VI, Section B, Line 15A

The salary administration committee is convened annually by the board chair. The committee reviews the performance of the ceo and recommends compensation based on the commensurate salary data, which is documented in the board minutes. Other officers and key employees are reviewed by the ceo using salary data from comparable positions.

Supplemental Narrative

Additional Explanations

FORM 990, PARTI XII, LINE 2C:

The finance and audit committees provide oversight of the audit process. This process has not changed from the prior year.

Financial Statement Notes

PART V, LINE 4:

Endowment funds are established to provide income to operations and for other purposes.

PART X, LINE 2:

The financial accounting standards board ("fasb") has issued guidance which clarifies generally accepted accounting principles for recognition, measurement, presentation and disclosure relating to uncertain tax positions. This guidance clarifies the accounting and recognition for income tax positions taken or expected to be taken in cub's income tax returns. Cub's income tax filings are subject to audit by various taxing authorities. The years of filings open to these authorities and available for audit are 2011, 2012 and 2013. Cub's policy with regards to interest and penalties is to recognize interest through interest expense and penalties through other expense. In evaluating cub's tax provision and tax exempt status, interpretations and tax planning strategies were considered. Cub believes their estimates are appropriate based on the current facts and circumstances.

Part V, Line 1B

During 2014, the organization engaged an attorney to provide a legal opinion regarding its prior classification of permanently restricted net assets in regards to donor intent. Through review of original donor correspondence, the attorney was able to make a determination that $1,495,356 of unrestricted net assets had been reported as permanently restricted net assets. As a result, the organization has restated its net assets by reducing permanently restricted net assets, and increasing unrestricted net assets, by $1,495,356.
