Each member of the board of directors receives a copy of the form 990 prior to filing. The board has delegated the responsibility of reviewing the document in depth to the audit committee. This committee reviews the document and provides comments, if any, to the full board.

Form 990, Part VI, Section B, Line 12C

Capitalplus exchange has a conflicts of interest policy and a procurement policy, which the board's active audit committee oversees. All employees of capitalplus exchange as well as board directors are required to sign an annual conflicts of interest policy certification and disclose any conflicts of interest to the audit committee. Service providers are also asked to disclose potential conflicts of interest to the capitalplus president and the audit committee. The audit committee reviews a management prepared procurement report listing all contracts, contractors and awarded amounts at least two times per year. If a conflict of interest is shown to exist, the board or audit committee would decide on what further action would need to be taken.

A comprehensive analysis was conducted utilizing publicly available data to benchmark compensation for comparable roles in recent years. Comparable organizations, specifically other 501(c)(3) entities, were identified, and ceo compensation levels were assessed using information accessible online. This research was internally managed by the finance, administration, and operations teams, who subsequently presented their findings to the board of directors. The board thoroughly reviewed and discussed the results, confirming that capplus compensation generally aligns with industry standards. The study encompassed all company positions, with special emphasis placed on the coo and ceo roles.

Due to funding constraints, capplus was unable to implement activities in 2024 under several program areas, including needs assessment, social enterprise finance, peer knowledge exchange, thought leadership, and performance and impact measurement. These programs have not been discontinued; however, their implementation was deferred in 2024. Future implementation will depend on the availability of funding in subsequent years.

Financial Statement Notes

PART X, LINE 2:

The corporation is exempt from federal income taxes as a result of its status as a not-for-profit organization as described under section 501(c)(3) of the internal revenue code. The corporation has evaluated its tax positions taken for all open tax years. Currently, the 2021, 2022, and 2023 tax years are open and subject to examination by the internal revenue service; however, the corporation is not currently under audit nor has the corporation been contacted by any of these jurisdictions. The corporation has elected to treat capplus impact llc as a corporation for u.s. Income tax purposes, rather than a disregarded entity. Consequently, after it is operational, it will be subject to corporate income taxes. Based on an evaluation of the corporation's tax positions, management believes all positions taken would be upheld under an examination; therefore, no provision for the effects of uncertain tax positions has been recorded for the years ended december 31, 2024 and 2023. The corporation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months.
