Mission

Capitalplus exchange corporation ("capplus or "the organization") is registered as a nonprofit corporation within the meaning of section 501(c)(3) of the internal revenue service code of 1986, as amended. The organization operates exclusively for charitable and educational purposes, to make capacity-building services available at substantially below cost to financial institutions in developing and transitional markets that serve small businesses, micro-enterprises, and underserved communities, to promote economic development, poverty reduction and otherwise benefit low-income persons.

Expand the capacity of financial institutions to help small businesses in developing economies increase incomes and jobs to reduce poverty. Capitalplus exchange is committed to a vision of increased economic opportunities, capabilities, incomes and jobs unleashed through expanding access to finance for small and growing businesses-the primary engine of poverty reduction in developing economies.

Governance Explanations

Each member of the board of directors receives a copy of the form 990 prior to filing. The board has delegated the responsibility of reveiwing the document in depth to the conflict of interest and audit committee. This committee reviews the document and provides comments, if any, to the full board.

Form 990, Part VI, Section B, Line 12C

Capitalplus exchange has a conflicts of interest policy and a procurement policy, which the board's active conflict of interest and audit committee (ciac) oversees. All employees seconded to capitalplus exchange as well as board directors are required to sign an annual conflicts of interest policy certification and disclose any conflicts of interest to the ciac. Service providers are also asked to disclose potential conflicts of interest to the exchange president and the ciac. The ciac reviews a management prepared procurement report listing all contracts, contractors and awarded amounts at least two (2) times per year. If a conflict of interest is shown to exist, the board or ciac would decide on what further action would need to be taken.

Research was done using publically available data for comparable positions in the past couple of years. In addition, similar organizations were selected and the compensation for their ceo's was evaluated, since all were 501(c)iii's, the information was publically available on the web. The research was done in house by the finance, administration, and operations team, and presented to the board. The board reviewed, discussed and noted that compensation at cpe is in line with the industry. The research was done for all positions of the company, with particular attention to vp and ceo positions.

The corporation is exempt from federal income taxes as a result of its status as a non-profit organization as described under section 501(c)(3) of the internal revenue code. The corporation has adopted guidance issued by the financial accounting standards board (fasb) with respect to accounting for uncertain tax positions. No provision has been made for income taxes in the accompanying financial statements, as the corporation has had no unrelated business income. Management believes the corporation has no material unrecognized income tax benefits or liabilities, including any potential loss of its tax-exempt status. The corporation has not been examined by any tax jurisdiction. The corporation does not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months.

PARTICIPANTS FROM VARIOUS FINANCIAL INSTITUTIONS IN AFRICA AND ASIA WERE ABLE TO SHARE EXPERIENCES, BEST PRACTICES AND IDEAS AT THESE EVENTS.
