The mission of the semi foundation is to support economic opportunity for workers and the sustained growth of the microelectronics industry.we accomplish this through creating pathways and opportunities for job seekers, and tools and systems for semiconductor companies to attract, develop, and retain a diverse, innovative, and skilled workforce.

The member has broad powers, including the power to levy dues and assessments, to select and remove all officers, agents, employees and contractors, to fix reasonable compensation, to authorize and empower officers or agents to enter into contracts and other commitments on behalf of the organization, and to appoint and delegate responsibilities and authority to committees, officers and agents. Finally, the member has such other powers and rights as provided by the nonprofit public benefit corporation law of the state of california.

Bpm llp and semi staff work together to gather the required tax information necessary to complete the tax returns. The initial draft return is reviewed by bpm and semi finance staff; items are discussed and reviewed. Any recommended changes are reflected in the return, and a revised draft tax return is prepared. The full board receives the final version of the tax return for review prior to filing.

Semi foundation does not have employees. Its officers are full-time employees of semi. Annually, semi sends the code of conduct policy, which includes the conflict of interest policy, to all employees. All semi employees are required to review the policy and certify that they agree to abide by it. Semi human resources audits the responses to ensure that all employees respond.

Form 990, Part III, Line 4A

Since its inception, the semi foundation has sponsored semi high tech u (htu), an interactive educational program designed to excite high school students about science, technology, engineering and math (stem) and expose them to potential career opportunities in the high tech industry. By the end of 2019, the semi foundation delivered a total of 257 htu programs in the united states, austria, france, india, japan, korea, the netherlands, singapore, southeast asia and taiwan, and reached an immediate audience of nearly 8,000 students and teachers. However, this immersive program was inperson and was suspended in 2020 due to the pandemic.

The pandemic exacerbated the stem workforce crisis and chip shortage worldwide. To help attract candidates and help develop a global workforce to sustain industry innovation and growth, and to provide economic opportunity to individuals, particularly those underrepresented in tech, in 2020 the semi foundation focused on global initiatives focused on workforce development and diversity, equity, and inclusion (dei). This included launching a new phase of an industry image and awareness campaign, including a national media campaign to inspire students and adults to join the microelectronics industry, and a powerful online career portal to help them find educational pathways and connections to employers. The foundation also presented at and supported numerous industryfocused global virtual events on workforce development and dei topics; supported programs and job fairs to support veterans and soldiers to join the microelectronics industry; supported suppliers with diverse ownership; reworked an industry recognition award to be more inclusive; regularly published articles and blogs on workforce development and dei; designed and launched a mentorship program; designed and launched a dei roadmap and toolkit to help make the industry more diverse and inclusive; and redesigned high tech u into a flexible educational platform for all students and educators.

The financial statements of the organization are consolidated with those of semi, in accordance with gaap, and are audited by an independent public accounting firm. Semi's board, and the finance committee of the board, have responsibility for oversight of the audit of the consolidated financial statements and selection of the independent public accounting firm.
