The conflict of interest policy covers employees and board of director members. For employees, it is monitored and enforced through a third party compliance hotline, global compliance. When a compliance issue is received, it is investigated following policy guidelines. For board members, they are asked annually to disclose any possible conflicts. The executive committee is responsible for reviewing any conflicts disclosed.

Annually salaries and pay rates are researched and approved by the board of directors. Compensation paid to all employees is compared to compensation paid to employees of other organizations in similar positions for reasonableness. The organization uses, among others, cox medical center's pay matrix for comparable compensation. The board aproves the salaries of all employees.

Develop relationships and financial resources that support and encourage the health and wellness of taney and stone county residents through the programs, projects and services provided by community initiatives and cox medical center branson.

Line 2 explanation: the organization has an arrangement with lester e cox medical center whereby lester e cox compensates and provides benefits for the organization's employees, but the organization reimburses lester e cox for the costs of its employees payroll, benefits and payroll taxes.

The foundation intends to use the funds to carryout the organization's mission.

Schedule D, Page 3, Part X

The foundation has been recognized as tax exempt pursuant to section 509 (a)(3) of the internal revenue code and a similar code section under missouri state statutes. Accordingly, no provision for federal or state income taxes has been made. The foundation's policy with respect to evaluating uncertain tax positions is based upon whether management believes it is more likely than not the uncertain tax positions will be sustained upon review by the taxing authorities, then the foundation shall initially and subsequently measure the largest amount of tax benefit that is greater than 50% likely of being realized upon settlement with a taxing authority that has full knowledge of all relevant information. The tax positions must meet the more likely-than not recognition threshold with consideration given to the amounts and probabilities of the outcomes that could be realized upon settlement using the facts, circumstances and information at the reporting date. The foundation will reflect only the portion of the tax benefit that will be sustained upon resolution of the position and applicable interest on the portion of the tax benefit not recognized. Based upon management's assessment, there are no uncertain tax positions expected to have a material impact on the foundation's financial statements. The foundation is no longer subject to u.s. Federal and state tax examination by tax authorities for years before 2015. The foundation's federal and state tax returns are not currently under examination. The foundation recognizes interest and penalties related to unrecognized tax benefits in income tax expense. The foundation did not have any interest or penalties accrued at december 31, 2018 and 2017.
