Governance Explanations

Form 990, Part VI, Section A, Line 4

The Organization and its Management and Board resolved to make a change in its accounting and tax year end from December 31st to adopting a fiscal year beginning April 1, 2025 and ending March 31, 2026. This will better align its financial and tax reporting with the seasonality of the business, budgeting process, and compensation review and adjustments. The Change in Accounting Period is made pursuant to Rev. Proc. 85-58.

Members pay monthly dues including a debt service fee and a capital fee to enjoy and participate in the club's activities, including golf, dining, and special events.

Members are invited to attend town hall meetings, participate in a yearly member survey, vote for Board Officers/Directors, and vote in any special elections deemed appropriate by the Board and approved through resolution.

The election of Officers and Directors and organizational resolutions put to vote require a greater than 50% approval by the membership.

General Manager and Controller ("Management") provides Board Approved year-end financial statements, and supporting documentation to third party tax preparation firm. Draft tax returns are prepared and reviewed with Management and the Treasurer. The Treasurer is also head of the Finance Committee. Then, members of the Finance Committee based on financial background and knowledge review the returns. Any questions, observations, and comments are collected and presented to both Management and the tax preparation firm. Appropriate revisions are then made to the draft returns. Revised tax returns are provided to Management and Treasurer for secondary review. Finalized returns are sent to the Board of Directors for review and approval. Final returns are signed by the General Manager or Board President and filed by the tax preparation firm.

Historically, the Board has engaged an outside service firm to source, interview, and evaluate market rate compensation for candidates eligible for the General Manager position. Management, the Board and select Directors and/or Committees have input into the selection process. Ultimately the Board through vote and resolution confers the selection of the General Manager.

Draft tax returns are prepared and reviewed with Management and the Treasurer. The Treasurer is also head of the Finance Committee. Then, members of the Finance Committee based on financial background and knowledge review the returns. Any questions, observations, and comments are collected and presented to both Management and the tax preparation firm. Appropriate revisions are then made to the draft returns. Revised tax returns are provided to Management and Treasurer for secondary review. Finalized returns are sent to the Board of Directors for review and approval. Final returns are signed by the General Manager or Board President and filed by the tax preparation firm.
