Governance Explanations

Form 990, Part VI, Section B, Line 11B

Management reviews the audited financial statements with its auditor after which they are presented to the full board. Form 990 is prepared, provided to the board for review and filed after audit completion and board approval of the financial statements.

Form 990, Part VI, Section B, Line 12C

Existing board members were required to alert the executive committee of any changes in job position, maritial status, etc, that would cause a potential conflict of interest during the year or at least on an annual basis. New board members were vetted for conflict of interest in the interview process.

Form 990, Part VI, Section B, Line 15

The executive committee of the board of directors conducts an annual performance review of the president. The full board reviews and approves the presidents' salary in conjunction with the annual budget passing. This year the president received a cola in line with all staff and our internal compensation policy. The board ensures that the salary is comparable to other executive director salaries with comparative budget sizes living in new york city.

Form 990, Part VI, Section C, Line 19

Right to be makes its financial statements, governing documents and conflict of interest policy avaiable to the general public upon request.

Financial Statement Notes

PART X, LINE 2:

Right to be accounts for the effect of any uncertain tax positions based on a "more likely than not" threshold to the recognition of the tax positions being sustained based on the technical merits of the position under scrutiny by the applicable taxing authority. If a tax position or positions are deemed to result in uncertainties of those positions, the unrecognized tax effect is estimated based on a "cumulative probability assessment" that aggregates the estimated tax liability for uncertain tax positions. Interest and penalties, if any, are accrued as a component of general and administrative expenses when assessed. Right to be, inc. Is a not-for-profit organization that is exempt from income taxes under section 501(c)(3) of the internal revenue code and classified by the internal revenue service as other than a private foundation. Similar to other tax-exempt organizations, right to be is subject to tax on unrelated business income. Tax years prior to 2020 are no longer subject to examination by taxing authorities.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0RIGHT TO BE ACCOUNTS FOR THE EFFECT OF ANY UNCERTAIN TAX POSITIONS BASED ON A "MORE LIKELY THAN NOT" THRESHOLD TO THE RECOGNITION OF THE TAX POSITIONS BEING SUSTAINED BASED ON THE TECHNICAL MERITS OF THE POSITION UNDER SCRUTINY BY THE APPLICABLE TAXING AUTHORITY.
