“The organization provides each director with a copy of the company's conflict of interest policy and provides ample opportunity at its meetings in which a potential conflict could arise for a director to disclose a potential conflict for evaluation. Further, in preparation for its meetings, the organization closely scrutinizes each of its agenda items to evaluate the possibility of a potential conflict of interest and will raise the issue when known. Each director, principal officer and member of a committee with director delegated power is required to annually sign a statement which affirms such person: (a) has received a copy of the conflicts of interest policy; (b) has read and understands the policy; (c) has agreed to comply with the policy and (d) understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.
