Governance Explanations

Form 990, Part VI, Section B, line 11B

The Form 990 is sent to the Audit and Finance Committee for review. That Committee votes to recommend the Form 990 to the Board for approval, and the Board reviews and approves the Form 990 prior to it being filed with the IRS.

Form 990, Part VI, Section B, line 12C

The Conflict-of-Interest Policy is given to the Board and staff on an annual basis. Board and staff members are required to list potential conflicts and sign to indicate that they will comply with the policy. Board members may cite a potential conflict of interest during any discussion, and the other Board members present must decide whether to require a recusal from that discussion and/or vote. Staff must report any potential conflicts to a supervisor so that the supervisor can address the conflict as appropriate.

Form 990, Part VI, Section B, line 15

The Executive Committee designates a sub-committee called the Compensation Committee to decide compensation for the CEO and to develop and monitor CEO performance goals with associated bonus incentives. This is an annual process. The CEO determines the salary levels for officers and other employees based on a combination of informal surveys with similar organizations, compensation information disclosed in the 990's of similar organizations, and through independent compensation consultants. This is also done on an annual basis.

IRS990/Desc0COLORADO ALL PAYER CLAIMS DATABASEIn 2010, the Executive Director of the Colorado Department of Health Care Policy and Financing (HCPF) appointed CIVHC the Administrator of the Colorado All Payer Claims Database (CO APCD). With implementation grant funding from The Colorado Trust and the Colorado Health Foundation, CIVHC began collecting claims from payers and providing data analysis to inform opportunities and advance the Triple Aim in 2012. The CO APCD is now the state's most comprehensive claims data set representing the majority of insured lives in Colorado and including all major commercial payers, Medicaid and Medicare. Through public and custom data requests from the CO APCD, communities, organizations and individuals have access to essential cost, quality, and utilization insights to help them improve health and health care for Coloradans.Episodes of Care - Payment ReformEpisodes of care are the foundation for developing bundled payments, which means that all of the services for a specific event or condition, like a knee replacement, are combined into a single payment instead of being billed individually between pre-op, surgery fees and post-op care. Many in the health care system believe that this type of "all-in" payment model, focused on value and outcomes, not the number of visits, is a necessary step toward improving care and lowering costs.CIVHC can help stakeholders create new payment models like bundled payments using CO APCD data and analytic tools that help establish baseline episode costs and quality information. We use PROMETHEUS methodology to identify episodes of care by separating typical episode costs from Potentially Avoidable Costs (PACs) and pinpointing opportunities for savings.In addition, CIVHC uses PROMETHEUS episode methodology to calculate prices consumers can expect to pay for common health care services like colonoscopies and knee replacements. Showing consumers what the total "episode" bill will be from pre-op services through recovery helps them be more informed shoppers.

As the managing partner HTC, CIVHC collaborates with organizations to achieve readmissions goals and enhance community care coordination. Since the official launch of the campaign in 2013, CIVHC and the HTC operating team have engaged critical health care and community partners and improved the services, education, and support provided to entities across Colorado.Palliative Care CIVHC has become a national go-to source for insight into palliative care issues through convening, reporting and analyses. In 2014, CIVHC and taskforce partners from across the state successfully appealed to the Colorado State Board of Health to include a definition of palliative care as part of the Colorado Standards for Hospitals and Health Facilities.Each month, CIVHC currently convenes an Advance Care Planning (ACP) Work Group where stakeholders discuss issues facing the palliative care community and brainstorm ideas about how to affect meaningful change.
