Governance Explanations

Form 990, Part VI, Section B, line 11

The Form 990 is sent to the Audit and Finance Committee for review. That Committee votes to recommend the Form 990 to the Board for approval, and the Board reviews and approves the Form 990 prior to it being filed with the IRS.

Form 990, Part VI, Section B, line 12C

The Conflict-of-Interest Policy is given to the Board and staff on an annual basis. Board and staff members are required to list potential conflicts and sign to indicate that they will comply with the policy. Board members may cite a potential conflict of interest during any discussion, and the other Board members present must decide whether to require a recusal from that discussion and/or vote. Staff must report any potential conflicts to a supervisor so that the supervisor can address the conflict as appropriate.

Form 990, Part VI, Section B, line 15

The Executive Committee designates a sub-committee called the Compensation Committee to decide compensation for the CEO and to develop and monitor CEO performance goals with associated bonus incentives. This is an annual process. The CEO determines the salary levels for officers and other employees based on a combination of informal surveys with similar organizations, compensation information disclosed in the 990's of similar organizations, and through independent compensation consultants. This is also done on an annual basis.

IRS990/Desc0ALL PAYER CLAIMS DATABASEIn 2010, the Colorado General Assembly passed legislation (HB 10-1330) to develop the Colorado All Payer Claims Database (CO APCD), the state's most comprehensive source of health care claims information. The goal of the CO APCD is to inform and advance the "Triple Aim" goals of better health, better care and lower costs by providing comprehensive, transparent information about health care prices, spending and utilization. Administrated by CIVHC via appointment by the Colorado Department of Health Care Policy and Financing (HCPF), the CO APCD supports consumer decision-making by providing transparent price and quality information, and supports health care purchasers, researchers, providers and policymakers through publicly available information on www.comedprice.org and through custom datasets and reports. Understanding Colorado's Performance in Health, Health Care and CostCIVHC develops data and metrics to better understand and track Colorado's performance in improving health, improving the quality of care and containing health care costs. Collection of data and enhanced data transparency, reporting, and dissemination are important for both researching elements of how Colorado performs and also using that data to educate and influence how improvements can be made. The CO APCD is the primary tool for achieving that objective. Based on the input of a broad range of stakeholders, CIVHC's public website, www.comedprice.org, includes a set of measures and corresponding dashboards to help track progress in bending the cost curve, improving population health, and enhancing the patient experience across a series of metrics. The site also includes price and quality information for common elective medical services on a named facility basis to assist consumers in making informed health care choices.

We have evolved from playing a convening role to also bringing insight to the market through tools and data that allow Colorado providers, payers, and purchasers to move away from paying for volume to paying for value. CIVHC can provide APCD data to stakeholders and has analytic tools and staff to support the creation of new payment models, and can actually help stakeholders craft new payment strategies using their own data.Colorado's path toward achieving financial incentives that are aligned with quality and outcomes is described in CIVHC's "Framework for Transforming the Health Care Payment System in Colorado." Based on the Framework's goals to encourage payment focused on providing high-value health care and rewarding outcomes, not volume, CIVHC engages with payment reform initiatives in Colorado and nationally by acting as a convener, facilitator, educator and researcher on best practices. Delivery System RedesignCIVHC acts as a convener, driver, and change agent in delivery system redesign. With early help from our workgroups, we identified two primary areas-care transitions and palliative care-as ones that could yield the greatest improvements in Triple Aim goals of better health, better care and lower costs. In both of these arenas, we have brought together key stakeholders to identify needs, minimize duplication of effort and create momentum toward shared goals.Palliative Care CIVHC has become a go-to source for insight and convening for palliative care issues through our data and analyses. We also supported developing a standard, statewide definition of palliative care that was incorporated into the Code of Colorado Regulations for Health Facilities and Emergency Medical Services. This was an important first step to understanding where and how palliative care services were being provided in the state, as many hospitals and hospices had different definitions of palliative care.Care Transitions and Healthy Transitions ColoradoAs the managing partner of Healthy Transitions Colorado (HTC), CIVHC drives the work of the Collective Impact initiative focused on reducing readmissions and enhancing community care coordination. Since the official launch of the campaign in 2013, CIVHC and the HTC operating partners have engaged critical health care and community partners and have enhanced the services, education and support provided to entities across Colorado. To date we have over 100 community partners from across the health care spectrum that represent communities across the state who are working to establish partnerships and improve care transitions. We host monthly webinars highlighting best practices and approaches to care transitions that are posted on the HTC website, www.healthytransitionscolorado.org, and are available for download on demand. Over the last year, our webinars have been viewed over 600 times by people all over the state and nation. Our monthly newsletters provide information about the newest research and tools available from a variety of sources and are sent every month to over 5,000 recipients. ADDITIONAL PROGRAMSConveningCIVHC uses multiple advisory groups comprised of Colorado's respected thought leaders to research, educate on, and address critical elements of the health care system including data and transparency, delivery system redesign, and payment reform. Colorado Health Data AffiliateIn 2012, CIVHC made the strategic decision to act as the Health Data Affiliate for Colorado as a subset of the national Health Data Consortium. IRS990ScheduleA/FactsAndCircumstancesTestTxt0A non-partisan, non-for-profit organization representing the perspectives of varied health care stakeholders, the Center for Improving Value in Health Care's (CIVHC) mission is to support initiatives working to advance the health care Triple Aim: better health, better care and lower costs. To move towards the Triple Aim, CIVHC bolsters innovation in changing the way health care is paid for and care is delivered through data and analytic insights, education, consensus building, and convening. CIVHC administers the Colorado All Payer Claims Database (CO APCD) through appointment by the Colorado Department of Health Care Policy and Financing (HCPF). The CO APCD is a secure database currently containing over 500 million health insurance claims from 21 commercial health insurance companies, Medicare, Medicare Advantage, and Health First Colorado (Colorado's Medicaid program). The complexity and scale of the database grows each month and it is the only claims repository in the state representing the majority of insured lives in Colorado.1.Does a high percentage of the organization's support come from governmental units and the public? Yes. CIVHC's public support in 2013 was 35.32%, and in 2014 it was 32.12%. For 2015 it is well over 10%, at 30.66%. 2.Is the 10% test (see Key Issue 19D) satisfied by support from governmental units and from a number of unrelated donors? Yes. CIVHC has received significant operating funding from two foundations, but also has received grant and contract funding from four different Colorado state entities, and is a sub-recipient of a federal Patient-Centered Outcomes Research Institute grant. In 2015, mission-related contract revenue came from 31 different organizations, including six government entities, two state projects funded through the Affordable Care Act, eight nonprofits, four health care providers, four research organizations, three universities, two health care insurers, one trade association, and one healthcare-related vendor. 3.Does the organization's governing body represent the broad interests of the public rather than the personal or private interests of a limited number of donors? Yes. In 2015, CIVHC's board of directors included broad representation from the Colorado community, including representation from healthcare providers, payers, researchers, employers, nonprofits, and consumer advocates, as well as ex-officio directors representing five different Colorado state agencies. 4.Does the organization provide facilities or services directly for the benefit of the general public on a continuous basis? Yes. CIVHC provides healthcare cost, quality, and utilization data through regular releases of public-facing analyses via our website, email, newsletter and social media to help Coloradans make informed decisions about healthcare. Increasing access to transparent healthcare data for all stakeholders is foundational to CIVHC's work and to Colorado's ability to make informed decisions that will have lasting benefit to the state. The website, www.comedprice.org also enables Coloradans to shop for location-specific price and quality information for services like having a baby or getting a knee replacement. CIVHC also holds open meetings and symposia on the topics of healthcare transitions and palliative care, and provides analysis to public officials to inform healthcare policy.5.Do members of the public having special knowledge or expertise, public officials, or civic or community leaders participate in or sponsor any programs of the organization? Yes. CIVHC engages with stakeholders from across the healthcare community to serve on its advisory groups and provide outside opinions and expertise. CIVHC's Data Release Review Committee provides both oversight and expert opinions for analyses, and consists of healthcare providers, payers, researchers and public officials.
