The executive committee, when the board of directors is not in session shall have and may exercise all of the authority of the board of directors except to the extent, if any, that such authority shall be limited by the resolution appointing the executive committee and except also that the executive committee shall not have the authority of the board of directors in reference to amending the articles of incorporation, adopting a plan of merger, consolidation, or exchange recommending the sale, lease or other disposition of all or substantially all of the property and assets of the corporation otherwise than in the usual and regular course of its business, recommending a voluntary dissolution of the corporation or a revocation thereof, or amending the bylaws of the corporation.

Form 990, Part VI, Section B, Line 12C

All potential conflicts of interest, no matter how small or insignificant, are to be disclosed to the president of the board of directors and chief executive officer via an annual disclosure form. Any new conflict of interest that arises after the annual disclosure also must be reported to the president of the board. The president, in consultation with the board's executive committee and the chief executive officer, will make a recommendation to the board of directors regarding any parameters or boundaries that should be defined to protect heartland community health network's interest. The recommendation and/or decision of the full board of directors should be obtained on potential conflicts, as needed, and the full board should be informed of any declared conflicts when any matter involving that conflict is considered by the board. The board of directors is empowered to waive a potential conflict of interest after full disclosure and discussion, and provided that the board member involved does not participate in the discussion or vote on that matter.

An annual evaluation is performed for the ceo. The board of directors reviews the evaluation and uses a salary comparison to similar-sized organizations for determination of the ceo's compensation. All deliberation and decisions and documented by the board of directors.

Financial Statement Notes

PART X, LINE 2:

Management believes that the network has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The network would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties were incurred.

THE PRESIDENT, IN CONSULTATION WITH THE BOARD'S EXECUTIVE COMMITTEE AND THE CHIEF EXECUTIVE OFFICER, WILL MAKE A RECOMMENDATION TO THE BOARD OF DIRECTORS REGARDING ANY PARAMETERS OR BOUNDARIES THAT SHOULD BE DEFINED TO PROTECT HEARTLAND COMMUNITY HEALTH NETWORK'S INTEREST. THE RECOMMENDATION AND/OR DECISION OF THE FULL BOARD OF DIRECTORS SHOULD BE OBTAINED ON POTENTIAL CONFLICTS, AS NEEDED, AND THE FULL BOARD SHOULD BE INFORMED OF ANY DECLARED CONFLICTS WHEN ANY MATTER INVOLVING THAT CONFLICT IS CONSIDERED BY THE BOARD. THE BOARD OF DIRECTORS IS EMPOWERED TO WAIVE A POTENTIAL CONFLICT OF INTEREST AFTER FULL DISCLOSURE AND DISCUSSION, AND PROVIDED THAT THE BOARD MEMBER INVOLVED DOES NOT PARTICIPATE IN THE DISCUSSION OR VOTE ON THAT MATTER.
