Governance Explanations

Form 990, Part VI, Section B, Line 11

Senior management will review the draft form 990 prior to its presentation to the finance committee. The finance committee will review the form 990 at its next regularly scheduled meeting or call a special meeting to review it. The board of directors will be provided a copy of the form 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

Upon joining the board of directors, all board members are required to sign a conflict of interest policy. This is reviewed annually. The board chair and washington stem ceo will review the matter to determine if a conflict of interest exists, or another officer if the matter pertains to the board chair or the ceo. The member having a conflict will be asked to disclose the nature of the conflict and to recuse themselves from any decision involving the matter in which a conflict exists. Each employee is also asked to sign a conflict of interest statement.

Salary for each position within the organization is determined by independently obtained salary survey data. The compensation of the ceo and other officers was last reviewed in march 2016.

THIS IS MORE THAN THE 10% MINIMUM AMOUNT OF PUBLIC SUPPORT REQUIRED IN REGULATION 1.170A-9(F)(3)(I).2. REGULATION 1.170A-9(F)(3)(II): ATTRACTION OF PUBLIC SUPPORT. IN FURTHERANCE OF ITS ORGANIZATIONAL DOCUMENTS, THE WASHINGTON STEM CENTER ACTIVELY AND CONTINUOUSLY WORKS TO ATTRACT NEW AND ADDITIONAL PUBLIC SUPPORT FOR ITS PROGRAMS, INCLUDING BY SOLICITING GRANTS FROM CORPORATIONS AND INDIVIDUALS. THE SCOPE OF THE WASHINGTON STEM CENTER'S FUNDRAISING ACTIVITIES IS REASONABLE IN LIGHT OF ITS CHARITABLE PROGRAMS. THE WASHINGTON STEM CENTER'S FUNDRAISING ACTIVITIES HELP RAISE AWARENESS OF ITS CHARITABLE PROGRAMS.3. REGULATION 1.170A-9(F)(3)(III)(A): PERCENTAGE OF PUBLIC SUPPORT. THE WASHINGTON STEM CENTER WILL CONTINUE TO BUILD A BROAD RANGE OF FUNDING SOURCES, INCREASING ITS PERCENTAGE OF PUBLIC SUPPORT. THE WASHINGTON STEM CENTER DOES NOT ANTICIPATE THAT PUBLIC SUPPORT WILL FALL BELOW CURRENT LEVELS.4. REGULATION 1.170A-9(F)(3)(III)(B): SOURCES OF SUPPORT. A WIDE VARIETY OF SOURCES FUND THE WASHINGTON STEM CENTER, INCLUDING FOUNDATIONS, CORPORATIONS, AND INDIVIDUALS. AS OF DECEMBER 31, 2015, CONTRIBUTIONS DIRECTLY TO THE WASHINGTON STEM CENTER FROM PUBLIC SOURCES EXCEEDED $28.6 MILLION. IN THE ORGANIZATION'S FIRST YEARS OF EXISTENCE, SIGNIFICANT FUNDS WERE RECEIVED FROM A SMALL NUMBER OF DONORS TO ASSIST THE ORGANIZATION WHILE STILL IN ITS STARTUP PHASE. THOSE DONORSHAVE DECREASED THEIR CONTRIBUTIONS IN SUBSEQUENT YEARS. THE NUMBER AND VARIETY OF NON-PROFIT ORGANIZATIONS, FOUNDATIONS, CORPORATIONS, AND PRIVATE INDIVIDUALS CONTRIBUTING FUNDS TO THE WASHINGTON STEM CENTER INCREASED WITH EACH YEAR THE ORGANIZATION HAS BEEN IN EXISTENCE.5. REGULATION 1.170A-9(F)(3)(III)(C): REPRESENTATIVE GOVERNING BODY. IN 2015, THE WASHINGTON STEM CENTER BOARD OF DIRECTORS DID NOT TAKE ANY STEPS TO EXPAND AND DIVERSIFY ITS COMPOSITION. HOWEVER, THE BOARD IS CURRENTLY COMPOSED OF TEN BOARD MEMBERS REPRESENTATIVE OF THE COMMUNITY THE ORGANIZATION SERVES.6. REGULATION 1.170A-9(F)(3)(III)(D): AVAILABILITY OF PUBLIC FACILITIES OR SERVICES; PUBLIC PARTICIPATION IN PROGRAMS OR POLICIES.
