Action reserved to the member: the following matters are reserved solely to the member and, following consultation with the board of directors shall require the affirmative action of the member to be effective: (a) approval and adoption of annual operation and capital budgets of the corporation; (b) any financial expenditure which deviates from the corporation's annual operation and capital budgets if the sum of such financial expenditure and the sum of all prior financial expenditures which themselves deviate from the corporation's annual and capital budgets,per fiscal year, exceed $5,000,000; (c) the sale, lease, mortgage, or other transfer or encumberance of the real property of the corporation; (d) any sale, lease, mortgage, or other transfer or encumberance (collectively, "transfer") of the personal property and assets of the corporation, out of the ordinary course of business of the corporation, if the sum of such transfer and the sum of all prior transfers, per fiscal year, exceed $5,000,000; (e) any merger, acquistion, consolidation, or dissolution of the corporation; (f) borrowing or lending of money or the creation of indebtness through the guaranty of another's debt or similar action; (g) giving or seeking of grants; (h) settlement of claims or litigation; (i) appointment and removal of directors in accordance with article 3 of these bylaws; (j) appointment and removal of officers in accordance with article 4 of these bylaws; (k) creation, ownership or acquisition of, or affiliation with, any other organization; (l) approval of any strategic plan, business plan, or mission plan of the corporation; (m) contracts in which the corporation assumes financial risk, including but not limited to managed care contracts, and physician practice acquisition contracts; and (n) approval and adoption of the salaries, compensation and other benefits to be paid to physicians employed by the corporation.

Additional Explanations

Wildfire Disaster Relief Extension Disclosure

On November 13, 2018, the Internal Revenue Service announced in CA-2018-13 that victims of wildfires that took place beginning on November 8, 2018 in California may qualify for tax relief. The relief applies to affected taxpayers in certain counties of California. The announcement indicates that it is applicable to tax-exempt organizations that operate on a calendar-year basis and had previously been granted an automatic extension to file until November 15, 2018. Since the organization engages a tax preparer in the covered disaster area (Ventura county) to prepare its Federal Form 990, Return of Organization Exempt from Income Tax, and the records necessary to file the calendar-year 2017 Federal Form 990 are located in the covered disaster area, the postponed due date for the Federal Form 990 is now April 30, 2019. The organization respectfully requests relief from any late filing penalty or interest.
