Governance Explanations

Form 990, Part VI, Section B, Line 11B

The Form 990 is prepared and reviewed by a paid tax preparer, which is prepared with information provided by the organization. Upon review, the Form 990 is then presented to Board members for inspection, comment, and review. After the Board review, the Board votes on a resolution to approve the contents of Form 990 to Federal and State regulators. Upon resolution, Form 990 is filed with the IRS.

Form 990, Part VI, Section B, Line 12C

The organization has a conflict of interest policy in place, as adopted by the Board. The policy covers all significant persons identified as a director, officer, key employee, or committee member with Board delegated powers. Per this policy, each significant person is required to review and document conflicts of interest on an annual disclosure and review form. The policy recognizes the duty to disclose conflicts of interest, and prompt disclosure is required if such matters may arise throughout the year. Conflicts of interest are sent to an attorney to review and for which to provide an opinion. The Board shall determine by a majority vote of disinterested directors whether the disclosed interest results in a conflict of interest. When a conflict of interest is deemed to exist, the Board will determine by majority vote of disinterested directors, after exercising due diligence and investigation of alternatives, whether the transaction, contract, or arrangement is fair and reasonable.

Compensation is reviewed as necessary at a Board meeting and is voted on by all Board members. Each director is familiar with compensation rates and comparability as related to credentialed staff needed to perform the activities and carry out the mission of Strong Towns. The Board of Directors are not compensated.

IRS990/Desc0The Curbside Chat, Education and Outreach: Sharing key insights about the financial implications of the post-World War II development pattern. This is done largely through the organization's website at www.strongtowns.org as well as via social media platforms such as Twitter, Facebook, and LinkedIn. The Strong Towns blog is published five days per week and reaches over 100,000 different users each month. The Strong Towns podcast provides an audio complement to the blog, providing additional outlets for communication. The Curbside Chat is a public outreach and education initiative to bring the Strong Towns message out into individual communities. A Curbside Chat is an event with a lecture and community conversation about the financial impacts of the post-World War II development pattern. A companion booklet, audio and video versions of the chat, have been assembled online to provide multiple outlets for viewing the core message of the organization. The Curbside Chat visited over 20 states in 2014, including 5 first time states.

IRS990/ProgSrvcAccomActy2Grp/Desc0Neighborhoods First - Ponderay: Through a collaboration with the City of Ponderay, Idaho, Strong Towns structured a new framework for both city-led and citizen-lead projects in the existing neighborhoods and districts of the City. With the numerous physical barriers (i.e. geography, railroads, highways) between neighborhoods in Ponderay and between the city and surrounding towns, there was a need to start finding low risk ways to improve the daily lives of individuals in the city. In this process, city staff, elected officials, appointed officials, businesspersons and citizen advocates were engaged to be catalysts for forming neighborhood level social capital where little existed. The process of doing high return, low risk projects together built a new trust between parties and momentum for taking on larger community-wide challenges. The policy covers all significant persons identified as a director, officer, key employee, or committee member with Board delegated powers. Per this policy, each significant person is required to review and document conflicts of interest on an annual disclosure and review form. The policy recognizes the duty to disclose conflicts of interest, and prompt disclosure is required if such matters may arise throughout the year. Conflicts of interest are sent to an attorney to review and for which to provide an opinion. The Board shall determine by a majority vote of disinterested directors whether the disclosed interest results in a conflict of interest. When a conflict of interest is deemed to exist, the Board will determine by majority vote of disinterested directors, after exercising due diligence and investigation of alternatives, whether the transaction, contract, or arrangement is fair and reasonable.
