“The tax return is prepared by an outside accounting firm. After completion of said returns, the organization is sent a draft of the tax returns to be reviewed and examined. The organization makes copies of the returns and distributes to those individuals charged with governance. Those individuals at that time can review and if applicable discuss any line items in the return with the accountant who has prepared the return. If all items are found to be acceptable, an authorization is signed and provided to authorize the outside accounting firm to process, sign and provide copies of the returns to be filed (paper or electronically) with the designated governmental agencies. The tax returns are then signed by the organization, stamped and mailed with certified return receipt or the signed form 8879 is provided to the outside accounting firm allowing electronic filing.”
“The organization's employees have a duty to promptly disclose any transaction they believe may involve a conflict of interest. When any employee becomes aware of a conflict of interest transaction (whether before or after the transaction takes place), each employee is expected to disclose to the Executive Director all material facts regarding the nature of the conflict of interest and the parties involved. When informed of the details of the transactions, the Executive Director determines if a conflict of interest exists and, if so, the remedy to ensure the transaction is reasonable. Employees or board members involved in the potential conflict of interest transaction are excluded from the decision-making process. At any meeting of the Board of Directors at which a transaction involving a board member or a person affiliated with a board member will be considered, said Director will disclose to the other members of the Board all material facts regarding the nature of the transaction or the Director's affiliation with any person or entity with whom the Board is considering entering into any transaction. After a conflict of interest disclosures is made by a Director at a Board meeting, said Director will leave the meeting while the implications of the affiliation are considered and voted upon. The remaining board members will determine whether a conflict of interest exists.”
“Compensation is determined for all employees based on our Compensation Framework policy, and recurs on an annual basis. GOs compensation program is designed to attract, motivate, and retain talented employees who drive the organizations success. Base salaries at GO are targeted to be competitive with the market (50th percentile) for employees who are fully proficient and meeting expectations. There are six pay grades at GO that correspond to varying levels of responsibility within the organization. Placement within each grade is determined by experience, proficiency and performance.For key and highly compensated employees, staff makes a recommendation for compensation to the Board of Directors. This "on deposit" advance IS greater than the amount of what the 501(c)(4) organization might spend in a given month to ensure that there is "always" a buffer and that the 501(c)(3) resources are never used for the 501(c)(4) activities. |
